The Board of Supervisors hereby authorizes an agreement among some or all of the following political subdivisions: the Borough of Downingtown, Downingtown Area School District, East Brandywine Township, East Caln Township, Upper Uwchlan Township, Uwchlan Township, Wallace Township, West Bradford Township and West Pikeland Township to form a consortium to be known as the “Downingtown Area Recreational Consortium” (hereinafter the "Consortium"), on the following terms and conditions:[1]
A. 
The agreement states as its purpose to foster a cooperative effort in policies, plans and operations for recreation programs for the citizens of the member municipalities; provides for eligibility, representation, withdrawal and participation of the member municipalities; establishes operating policies; provides for financing Consortium projects; and provides for the acquisition and disposition of Consortium property.
B. 
The term of the agreement is perpetual, subject to the right of individual municipalities to withdraw in accordance with the agreement.
C. 
The agreement is for the purpose and objective of providing recreational activities to the residents of the constituent municipalities.
D. 
The agreement delegates authority to the Consortium Board of Directors and Operating Committee to prepare annual budgets, to propose and recommend Consortium programs and to conduct the general business of the Consortium as more fully set forth in the agreement.
E. 
The agreement provides that the activities of the Consortium shall be funded by charging fees to the program participants. Each municipality is responsible for a proportionate share of the cost of administration of the Consortium according to a formula attached as Exhibit A to the agreement.
F. 
The Consortium is authorized to acquire and provide office space, furnishings, supplies and equipment and other personal property which shall be managed by the Consortium Operating Committee. The Consortium is authorized to contract with member municipalities to provide facilities on real property. If it is deemed necessary by the Consortium to dispose of any property valued at $500 or more, it must be offered to the general public at bid or auction. The proceeds of any such sale are to be distributed to each participating municipality according to their individual percentage of ownership in the property sold.
G. 
The Consortium is authorized to hire and pay the salary and benefits of an Executive Director and such other employees as the Consortium deems appropriate.

The Chairman of the Board of Supervisors is authorized to sign any and all documents necessary to enter into the Consortium agreement consistent with the terms of this article.
Any and all actions taken prior to the date of this article by the Board of Supervisors, the Township Manager or other employees of the Township in order to effectuate and enter into the Consortium agreement are hereby ratified.
