Within sixty (60) days of the Town election, or within sixty (60) days of the expiration of the term of any Council-appointed Town office, commission or board, the Council shall appoint the following officers and boards:
A. 
Town Attorney. The Council shall appoint and may remove a Town Attorney, who shall be an attorney at law admitted to practice law in this state. The Town Attorney shall appear for and protect the rights of the Town in all actions, suits or proceedings brought by or against it or any of its departments, officers, agencies, boards or commissions. The Town Attorney shall be the legal advisor of the Town Council, the Town Manager and all officers, boards and commissions in all matters affecting the Town and shall upon written request furnish them with a written opinion on any question of law involving their respective powers and duties. Upon request, the Town Attorney shall prepare or approve forms or contracts to which the Town is a party or in which it has an interest. The Town Attorney shall have the power, with approval of the Council, to appeal from orders, decisions and judgments and, subject to the approval of the Council, to compromise or settle any claims by or against the Town. The Council may also appoint one (1) or more assistant Town Attorneys as it may deem necessary. The Town Attorney, and any assistants, shall not hold any elective or appointive office.
B. 
Planning and Zoning Commission. There shall be appointed a five-member Planning and Zoning Commission. There shall be appointed one (1) member each year for a term of three (3) years, so that said Planning and Zoning Commission shall consist of five (5) members. There shall also be appointed one (1) alternate member to said Commission every year for a term of three (3) years, so that said Planning and Zoning Commission shall have a total of three (3) alternate members.

C. 
Zoning Board of Appeals. There shall be a Zoning Board of Appeals. There shall be appointed one (1) member each year for a term of three (3) years, so that said Zoning Board of Appeals shall consist of five (5) members. There shall also be appointed one (1) alternate member to said Zoning Board of Appeals every year for a term of three (3) years so that said Zoning Board of Appeals shall have a total of three (3) alternate members.

D. 
Board of Police Commissioners. There shall be a Board of Police Commissioners. There shall be appointed one (1) member every year for a term of three (3) years so that said Board of Police Commissioners shall consist of five (5) members.

E. 
Board of Fire Commissioners. There shall be a Board of Fire Commissioners. There shall be appointed one (1) member every year for a term of three (3) years, so that said Board of Fire Commissioners shall consist of five (5) members.

F. 
Board of Tax Review. There shall be a Board of Tax Review. There shall be appointed one (1) member every year for a term of three (3) years, so that said Board of Tax Review shall consist of three (3) members.
G. 
Library Board. There shall be a Library Board. There shall be appointed one (1) member of the Library Board every year for a term of three (3) years, so that said Library Board shall consist of five (5) members.

H. 
Economic Development Commission. There shall be an Economic Development Commission. There shall be appointed one (1) member every year for a term of three (3) years, so that said Economic Development Commission shall consist of five (5) members.

I. 
Housing Authority. There shall be a Housing Authority. There shall be appointed one (1) member every year for a term of three (3) years, so that said Housing Authority shall consist of five (5) members.

J. 
Board of Admission of Electors. There shall be a five-member Board of Admission of Electors for the purpose of admission of voters, which shall consist of the Town Clerk and two (2) Registrars of Voters from each district.
K. 
Recreation Commission. There shall be a Recreation Commission. There shall be appointed one (1) member of the Recreation Commission every year for a term of three (3) years, so that said Commission shall consist of five (5) members.

Editor's Note: At the November 2, 1999, election, various subsections of this section were amended to reduce the terms of board or commission members from five years to three years. The question presented at the election also included the wording "... providing any incumbent board or commission member be allowed to serve until the expiration of his/her original five year term."
The Council shall remove any member of a board, commission or committee provided in § C5-1 if such a member has absented himself or herself from all meetings of the board, commission or committee for a period of three (3) consecutive months without due cause.
In appointing boards, commissions and committees, the Council shall appoint at least one (1) member from each of the two (2) major political parties but not more than a bare majority of any one (1) party on any such body. It shall not preclude the appointment by the Council of any person who is not a member of any political party.
A vacancy in any board, commission or committee shall be filled only for the unexpired portion of the term of such office. Any vacancy shall be filled within forty-five (45) days.
