§ 10-1 Declaration of public necessity.

The Town Council of the Borough of West View finds and therefore declares that it is necessary that an adequate public ambulance service be established and that emergency medical, rescue and lifesaving service be established and operated to promote the health, comfort, convenience and general welfare of the citizens of the Borough of West View and of individuals who are stricken with illness or accident and injuries while within the boundaries of the Township of Ross; and that such services can be most efficiently and economically furnished by means of an intercommunity municipal authority jointly sponsored by the Borough of West View and the Township of Ross and incorporated under the applicable laws of the Commonwealth of Pennsylvania for the express purpose of supplying such service to all citizens and residents of said municipalities and to other persons within the borders of said municipalities.

§ 10-2 Organization of Authority.

It is therefore the joint desire and intention of the Borough of West View and the Township of Ross, municipal corporation situate in the County of Allegheny and the Commonwealth of Pennsylvania, to organize an authority under and pursuant to the provisions of the Municipality Authorities Act of 1945, the Act of May 2, 1945, P.L. 382, Section 1 et seq., together with all supplements and amendments thereto,

for the purpose of exercising and enjoying all of the powers conferred by said Act, its supplements and amendments.

§ 10-3 Name.

The name of the proposed Authority shall be: "Ross-West View Emergency Medical Service Authority."

§ 10-4 Articles of Incorporation.

The proposed Articles of Incorporation are as follows:

ARTICLES OF INCORPORATION TO THE SECRETARY OF THE COMMONWEALTH OF PENNSYLVANIA
In compliance with the Municipality Authorities Act of 1945, its supplements and amendments,

the Borough of West View and the Township of Ross, municipal corporations situate in the County of Allegheny and Commonwealth of Pennsylvania, pursuant to identical ordinances duly adopted by the governing bodies of such municipalities, hereby signify their joint desire and intention to form an authority under said Act and do hereby certify as follows:
1. The name of the Authority shall be "Ross-West View Emergency Medical Service Authority."
2. That this Authority is formed under and pursuant to the provisions of the Municipality Authorities Act of 1945, its supplements and amendments.
3. That no other authority or joint authority organized under the Municipality Authorities Act, its supplements and amendments, or under the Act approved June 28, 1935, P.L. 463, as amended, is in existence in or for the incorporating municipalities named herein, except as follows:
(1) The Municipal Authority of the Borough of West View organized by the Borough of West View, County of Allegheny, Commonwealth of Pennsylvania, under and pursuant to the Municipality Authorities Act of 1945, its supplements and amendments, for the purpose of exercising and enjoying any and all powers conferred by said Act.
(2) Ross Township Authority organized by the Township of Ross, Allegheny County, Pennsylvania, pursuant to the Municipality Authorities Act of 1935, approved June 28, 1935, P.L. 463, as amended, for the purposes of exercising and enjoying any and all the powers conferred by said Act.
4. The purpose of the Authority is to provide ambulance equipment and facilities, and administrative services related thereto, the furnishing of ambulance services, emergency medical services and invalid coach transportation services to ill, injured or convalescent individuals within the service area of said authority, and in other areas pursuant to agreements with similar services therein.

5. The respective names of the incorporating municipalities are:

6. The names and addresses of the municipal authorities of each of the incorporated municipalities are as follows:

7. The Board of the Authority to be formed pursuant to these Articles shall consist of 15 members, each of whom, except for those who shall be members of the first Board of the Authority, shall be appointed for terms of five years. No Board member shall be a paid employee of the Authority. The members of the Board of the Authority shall be apportioned among the several municipalities as follows:

8. The names and addresses of the members of the first Board of the Authority, the municipality by which each such member has been appointed and the dates of expiration of their respective terms of office are as follows.

9. Whenever a vacancy has occurred, or is about to occur by reason of the expiration of the term of any member, the participating municipality which appointed the member whose term has expired, or is about to expire, shall appoint a successor member for a full term of five years.
Witness the due execution of these Articles by each of the incorporating municipalities, all as of the _____ day of _____, 1978.

§ 10-5 Appointment of members.

The following persons are hereby appointed members of the first Board of the Authority, who shall serve, in accordance with Section 8 of the proposed Articles of Incorporation, for terms as hereinafter set forth opposite their respective names.

§ 10-6 Compensation of members.

Until such time as the incorporating municipalities shall otherwise provide by resolution, the members of the Board of the Authority shall receive no compensation for their services as Board members.

§ 10-7 Execution of Articles of Incorporation.

The Articles of Incorporation of the proposed Authority, in substantially the same form as set forth in § 10-4 of this chapter, shall be executed on behalf of the Borough of West View by the President of the Town Council of the Borough of West View, under its Municipal Seal, attested by the Borough Secretary, and such officers are hereby authorized, empowered and directed to do all things necessary and appropriate to effect and establish said Authority, in conformity with the aforesaid Municipality Authorities Act of 1945, its supplements and amendments.
