A. 
There is established the office of City Counselor. The City Counselor shall be a person duly licensed to practice law in the State of Missouri and shall be a member in good standing with the Missouri Bar Association.
B. 
The City Counselor shall be appointed by the City Manager in consultation with the City Council. Said term of this appointment shall be by annually, renewable contract authorized by the City Manager in consultation with the City Council.

A. 
The City Counselor shall represent the City in all courts of record. He/she shall draft, under the instructions of the City Manager or his/her designee, all ordinances, contracts and prepare legal forms of every kind necessary to the functioning of the City Government. He/she shall give legal advice to the City Manager and City Council. When requested, in writing, he/she shall render opinions on legal questions raised by department heads and by the various boards and commissions of the City Government. In addition, he/she shall perform such other legal duties as may be prescribed by ordinance or resolution or which shall be ordered by the City Manager.
B. 
The City Counselor shall be charged with the responsibility of calling to the attention of the City Manager, City Council and other City Officials all matters of law affecting the City, its officers and employees.

In the event of vacancy in the office of City Counselor, his/her absence, sickness or disability from any cause to discharge the duties of his/her office, the City Manager may employ an attorney to render any legal service required by the City or any officer thereof. The person so appointed shall be a duly licensed, practicing attorney and shall be a member in good standing with the Missouri Bar Association. Said attorney shall receive for his/her services such compensation as may be agreed upon at the time of such appointment and no other.

The City Manager shall at any time he/she deems proper employ additional legal counsel on a temporary basis for specific legal assignments.

The salary and fees of the City Counselor and the necessary expenses incurred in the performance of his/her duties for the City shall be paid by the City in accordance with budgetary guidelines and annual fiscal appropriations. The compensation of the City Counselor shall not be contingent upon the result in any case.

The City Counselor, at such times as may be required by the City Manager, shall make and file with the City Clerk a full and complete report of all business and matters pertaining to his/her office showing in detail a history of each transaction.
