There is hereby created a Joint Recreation Commission known as the "Salford-Franconia Recreation Commission."
The Commission shall be composed of six members, three to be appointed by the Board of Supervisors of Franconia Township, and three to be appointed by the Board of Supervisors of Salford Township. The Commission members shall serve for terms of three years and until their successors are appointed, except that the members first appointed shall be so appointed that the term of one member from each municipality shall expire annually thereafter. Initially, each township shall appoint three members each, one for one year, one for two years, and one for three years. Vacancies shall be filled in the same manner as original appointments and for the unexpired term.
The Joint Recreation Commission shall appoint from its membership a Chairman and such other officers as it may deem necessary for the orderly conducting of its business, and may adopt bylaws, rules and regulations covering its procedures. The Commission shall hold regular meetings at such times and places as it may designate.
The Joint Recreation Commission shall propose to the Boards of Supervisors of the parties to this Agreement, programs and procedures for the operation of the jointly owned park, and shall administer such programs once agreement thereto has been given by the Boards. In addition, the Commission shall prepare and administer a proposed annual budget for the operation of the park. The Commission shall have such additional powers and duties as are from time to time granted by agreement of the parties hereto.
It is understood that the Joint Recreation Commission created hereby is an advisory and administrative body and shall have no power to bind the parties hereto to any contract or agreement beyond the expenditure of budgeted and appropriated funds, or the implementation of authorized programs, unless such power is specifically delegated by joint action of the respective Boards of Supervisors.
The Joint Recreation Commission shall be responsible for the day-to-day operation management and maintenance of the jointly owned park. The Franconia Township manager will be available during normal working hours for coordination of scheduled maintenance or construction activities or other conditions requiring attention.
The Salford-Franconia Joint Recreation Commission shall annually prepare a budget for the upcoming calendar year using the approved budget form, Attachment A,[1] which will include an estimated rate of monthly expenditures. The budget, including proposed monthly rates of spending for the guidance of the Boards, shall be submitted to the Board of Supervisors of both townships prior to September 1 of the current year. The respective Boards of Supervisors shall approve or disapprove this budget by November 1. The Commission shall, in the administration of its approved budget, notify the Boards of any large expenditures which are to be made at a time substantially different from those proposed in the budget, so that the Boards may make the necessary arrangements to meet such obligations.

The annual budget agreed upon by the Boards of Supervisors for the operation shall be funded by appropriations from township funds. It is agreed that Franconia Township shall appropriate 75% of the required funds, and Salford Township shall appropriate 25% of the required funds. The funding by each township is derived by population proportionment and is subject to review by the parties at least every five years, or more frequently if requested by one of the parties.
The Joint Recreation Commission is empowered to appoint a Treasurer, who shall be responsible for the financial transactions of the Commission. The Treasurer shall keep accurate records relative to disbursements and receipts and report all transactions monthly to the respective Boards of Supervisors. The appointed Treasurer shall set up a checking and savings account with a member bank of the Federal Reserve System requiring two of three signatures of members of the Joint Recreation Commission; (Chairman, Secretary and Treasurer is suggested). The Joint Recreation Commission is empowered to disburse funds directly for expenditures up to and not exceeding $500 for any one nonbudgeted item. Expenditures over $500 which are not in the approved budget must be initialed by the Franconia Township Manager and Salford Township Secretary/Treasurer. The Franconia Township Manager and the Salford Township Secretary/Treasurer shall maintain a balance in this Joint Recreation Unibank account equal to the cumulative monthly budgeted amount less expenditures. [Equal to the yearly budget which is broken down by month and cummed (added) month by month less expenditures in that time frame]. Deposits to this account shall be made prior to the first business day of the month. The Joint Recreation Commission Treasurer shall be bonded for $5,000 and cost of such bond shared equally by both townships.
In the disbursement of appropriated funds for projects, the Joint Recreation Commission shall observe the requirements of Commonwealth Law with respect to the letting of contracts. Any individual contract exceeding the limits specified in the Second Class Township Code[1] shall be awarded only upon receipt of competitive bids.

The Salford-Franconia Joint Recreation Commission shall make monthly activity reports to the Boards of Supervisors of Salford and Franconia Townships.
This Agreement shall become effective February 8, 1982, and shall continue in effect for one year and from year to year thereafter, unless terminated by a party on one year's written notice to the other party.
This Agreement is the entire agreement between the parties and may not be modified or amended except by written instrument executed by the parties.
