Under the authority of Wyoming Statutes §§ 18-9-201 and 18-9-202, the governing body may, by the adoption of a resolution, establish the Evanston Parks and Recreation Board, hereinafter called “the Board,” a body corporate and politic with the authority and powers granted by such statutes and any amendments thereof enacted by the Legislature.
A. 
The Parks and Recreation Board shall consist of not more than 12 members appointed jointly by the Mayor and City Council from a list of names of interested citizens in the community submitted by the Parks and Recreation Board, who have been selected by a vote of the majority of the Board.
B. 
A designated City Council representative will serve as an ex officio member of the Board.
C. 
Members of the Board shall serve for a three-year term or until a successor is appointed, such appointment to be made by the Mayor and City Council, and may be eligible for reappointment. The first Board shall consist of three members appointed for a one-year term, three members appointed for a two-year term and three members appointed for a three-year term, to alternate the expiration date of the appointments. Thereafter, the Mayor and City Council shall appoint each year three members for a three-year term. Such appointments shall be made on or before the date of the first regular City Council meeting in January.
D. 
Should a member of the Board have unexcused absences at three consecutive meetings, he shall be replaced upon notification by the president.
E. 
Vacancies on the Board shall be filled from recommendations by the Board to the Mayor and City Council, for the unexpired term of the person leaving such vacancy.
A. 
The Parks and Recreation Board shall have such authority and powers as shall be granted to the Board by the Mayor and City Council, in addition to the powers and authority provided by Wyoming Statutes, 1977, §§ 18-9-201 and 18-9-202.
B. 
The Board shall receive such revenue as shall be appropriated by the City Council, in addition to any gift or grants.
C. 
The Bboard shall adopt such bylaws as necessary for the Board to function and fulfill the duties assigned to the Board. All rules and regulations adopted by the Board shall be promulgated in accordance with the terms of the provisions of the Wyoming Administrative Procedure Act (Wyoming Statutes, 1977, §§ 16-3-101 through 16-3-115). The bylaws may be amended by majority vote of the active members of the Board.
A. 
The annual meeting of the Parks and Recreation Board shall be held on the third Wednesday of January of each year, at a place to be designated each year by the Board. If the day fixed for the annual meeting shall be a legal holiday in the state, such meeting shall be held on the next succeeding business day. At each annual meeting the Board shall be reorganized, officers elected, vacancies determined and such business accomplished as shall regularly come before such meeting.
B. 
Special meetings of the Board may be called by the President at his own request or at the request of any two of the members of the Board.
A. 
The officers of the Parks and Recreation Board shall be a President, a Secretary and a Treasurer and such other officers as may be elected in accordance with this article.
B. 
The officers of the Board shall be elected annually at the regular meeting of the Board. Each officer shall hold office until a successor is duly elected and is qualified.
C. 
The Treasurer shall give a fidelity bond in an amount not less than $5,000.
Immediately upon the organization of the Parks and Recreation Board, the Secretary shall give the City and the Secretary of the State of Wyoming a certificate showing organization of the Board, and upon its filing of such certificate, the Parks and Recreation Board shall automatically become a body corporate, embodied to sue and be sued under the name and style of the Evanston Parks and Recreation Board, and have perpetual existence. The Board shall adopt and obtain a corporate seal.
No individual member of the Parks and Recreation Board shall be personally liable for any action or procedure of the Board.
The Parks and Recreation Board shall serve without compensation; except that the Board may allow a reasonable compensation to the Secretary for such secretarial or other services as he may be required to perform.
The Parks and Recreation Board shall have the power and is hereby authorized to employ trained supervisors and directors of recreation.
The parks and recreation board shall be governed by and shall faithfully comply with the Uniform Municipal Fiscal Procedures Act (Wyoming Statutes, 1977, sections 9-7-317 to 9-7-340), as amended from time to time. The board shall at all times and in the manner specified by law adopt fiscal plans for the conduct of its affairs and shall annually submit a budget to the City council on prescribed forms, setting forth a schedule of proposed expenditures and anticipated revenue for the fiscal year for approval by the City council. Under penalty of law, the board shall not expend for any purpose any amount exceeding the total budget approved by the board and the City council.
The parks and recreation board shall keep and maintain a current and accurate record of all its official proceedings in such a manner as will meet with the approval of the state auditor and shall keep accurate books and records of business affairs, which shall be public records, and shall make the same available for public inspection at all reasonable times and places.
The parks and recreation board may be dissolved and discontinued by resolution of the City council in a regular and public meeting; provided, that the board will not be dissolved or discontinued within a two year period following the date of its establishment and creation.
