A. 
The Planning Board heretofore established shall be continued and shall have all of the powers and duties provided by the Village Law, the General Municipal Law, the Nassau County Charter (Chapter 878 of the Laws of 1936, as amended) and any other general or special statutes, ordinances, rules and regulations now or hereafter in force. Said Board shall consist of five members appointed by the Mayor with the approval of a majority of the Board of Trustees.
B. 
The Mayor, with the approval of the majority of the Board of Trustees, may appoint up to two alternate members to perform the duties of regular members who are unavailable or unable to perform such duties.
C. 
The Planning Board, by majority vote of its members, shall be authorized to appoint a Secretary to the Planning Board, subject to a salary and benefit approval by the Board of Trustees.

The terms of the members of the Planning Board shall be five official years, and upon the expiration of any term of a member, that member or a successor shall be appointed for a term of five official years and the members shall be appointed so that one member’s term shall expire at the end of each official year. If a vacancy shall occur for any reason other than expiration of term, such vacancy shall be filled in the same manner as an original appointment. The Board of Trustees may remove any member of the Planning Board for cause and after an opportunity to be heard by the Board of Trustees. An alternate member shall be appointed for a term of one year.
The Mayor shall designate a member of the Board to serve as Chair, each of which appointments shall be for a term until the end of the official year in which such appointments are made, and each of which appointments shall be subject to approval by the Board of Trustees.

All meetings of the Planning Board shall be public. The presence of a majority of the members shall be necessary for a quorum. The Secretary of the Board shall keep minutes of the proceedings showing the vote of each member upon every question or, if absent or failing to vote, indicating that fact. The Secretary also shall keep a record of the examination and other official actions of the Board. Every rule, regulation, amendment or repeal thereof and every order, requirement, decision or determination of the Board shall immediately be filed in the Village Clerk's office and shall be a public record.
