A. 
This Code of Ethics shall apply to all officers, employees and members of boards or commissions, whether elected or appointed, full- or part-time, paid or unpaid, of the Village.
B. 
A copy of this chapter shall be distributed to every officer, employee and member of a board or commission within 30 days after the effective date of this section. Such persons shall execute a written acknowledgment that they have received, read and understand this chapter within 30 days of receipt.
C. 
Each officer, employee or member of a board or commission thereafter elected or appointed shall be furnished a copy of this chapter and shall execute the written acknowledgment described above before entering upon the duties of said office, employment or membership.
In addition to any conflicts of interest prohibited by state law, no person to whom this code applies shall:
A. 
Be or become interested, directly or indirectly, in any manner whatsoever, except by operation of law, in any business or professional dealings with the village or any agency thereof.
B. 
Act as attorney, agent, broker, representative or employee in business or professional dealings with the village, or any agency thereof, for any person, firm or corporation, directly or indirectly, in any manner whatsoever.
C. 
Accept other employment or engage in any business transactions or make any investments, directly or indirectly, which create a conflict with his official duties.
No person to whom this code applies shall accept any valuable gift, whether in the form of services, loan, thing or promise or any other form, from any person, firm, partnership or corporation or association which, to his knowledge, is interested, directly or indirectly, in any manner whatsoever, in business or professional dealings with the village or any agency thereof.
A. 
Every person to whom this code applies who has a direct or indirect financial or other private interest in any matter being considered by the Board of Trustees or by any other official board, agency, officer or employee of the village, and who participates in discussions before or gives opinions to such board, agency or individuals, shall publicly disclose on the official record the nature and extent of such interest.
B. 
Every person to whom this code applies who has a knowledge of any matter being considered by any board, agency, officer or employee of the village in which he has any direct or indirect financial or other private interest shall disclose in writing his interest to such board, agency, officer or employee, and the nature and extent thereof, as soon as practically possible after becoming informed of such matter.
C. 
A copy of every disclosure required under Subsections A and B above, including a copy of every transcript containing such a disclosure, shall be promptly transmitted by the board, agency, officer or employee receiving such disclosure to the Village Clerk, who shall file and maintain same as a public record.
No officer or employee of the village, whether paid or unpaid, shall disclose confidential information concerning the property, government or affairs of the village or any other confidential information of an official character, except when permitted or required by law, nor shall he use such information to advance the financial or other private interests of himself or others.
No person who has served as an officer or employee of the village shall, within a period of two years after the termination of such service or employment, appear before any board or agency of the village or receive compensation for any services rendered on behalf of any person, firm, partnership, corporation or association in relation to any case, proceeding or application with respect to which such person was directly concerned or in which he personally participated during the period of his service or employment or which was under his active consideration.
For the purposes of §§ 11-2, 11-4 and 11-5 of this code, an officer or employee shall be deemed to have a prohibited interest when he, his spouse, parents, children, grandchildren or spouse of a child or grandchild is interested or is an officer, director, partner or employee or shareholder of a firm, partnership, corporation or association which is interested in any business or professional dealings with the village, or any agency thereof, or in any matters being considered by the village, or an agency thereof, or has an agreement whereby he or it may receive payment or benefit, whether or not for services rendered, which is dependent or contingent on the favorable approval of any application or petition, or any other matter by the village or agency thereof. Ownership of less than 5% of stock of a corporation which is listed on the New York or American Stock Exchanges shall not constitute an interest within the definition of this section.
A violation of any of the provisions of this code shall constitute cause for forfeiture of pay or suspension or removal from office or employment in the form and manner as provided by law. Nothing in this section shall limit any other penalties which may be provided by law.
