The "Pennsauken Solid Waste Management Authority" is hereby created in accordance with the provisions of N.J.S.A. 40:66A-35.
A. 
Five members shall be appointed by the resolution of the Township Committee to serve on the Authority. The terms of such members shall be for five years each. These terms shall begin on February 1 of the year of their appointment and expire on February 1 of the fifth year after the year of the appointment. Ordinarily, such appointments will be made by the governing body on or after January 1 of each year. However, the following terms shall apply to the first appointments made to the Authority:
(1) 
Member No. 1: From the date of appointment to February 1, 1984.
(2) 
Member No. 2: From the date of appointment to February 1, 1985.
(3) 
Member No. 3: From the date of appointment to February 1, 1986.
(4) 
Member No. 4: From the date of appointment to February 1, 1987.
(5) 
Member No. 5: From the date of appointment to February 1, 1988.
B. 
After these initial appointments, each member of the Authority shall hold office for the term for which appointment was made and until a successor has been appointed and has qualified in accordance with N.J.S.A. 40:66A-36(c).
C. 
Beginning with January 1, 1984, the governing body shall appoint only one person each year as a member to the Authority, and such member shall serve for a term of five years, as specified above.
D. 
In the event of a vacancy in the membership of the Authority, no matter how caused, which shall occur during the unexpired term of any member, a person shall be appointed as a member to the Authority to serve for the balance of such unexpired term.
A. 
Upon the completion of the first appointments to the Authority and thereafter, on or after February 1 of each year, the members of the Authority shall conduct an organization meeting at which they will elect for one year, from its membership, the following: a President, a Vice President, a Secretary and a Treasurer. These officers of the Authority shall hold office until February 1 following the year of their election, and until their respective successors have been appointed and have qualified.
B. 
The Authority may also appoint and employ such professional and technical advisers and experts and such other officers, agents and employees as it may require from time to time. Further, the Authority shall also determine the qualifications, duties and compensation for such personnel.
C. 
In no event shall the members of the Authority themselves receive compensation, and they shall serve without compensation or remuneration of any kind, with the exception of being reimbursed for necessary expenses incurred in the discharge of their duties.
D. 
The Authority shall adopt bylaws consistent with the purposes and intent of this article and the provisions of N.J.S.A. 40:66A-32 et seq. The Authority members may also delegate, to one or more of its officers, agents or employees, such powers and duties as the Authority shall deem proper.
E. 
The Authority shall function and be regulated, in all respects, in accordance with the provisions of N.J.S.A. 40:66A-36, the provisions of which are hereby incorporated by reference as though fully set forth at length.
A member of the Authority may be removed only by the Township Committee of Pennsauken and only for inefficiency, neglect of duty or other misconduct in office. Such member shall be removed only after a hearing has been afforded by the Township Committee to such member. The member shall receive at least 10 days prior to the designated hearing date a copy of the charges against him or her; and at the hearing he or she shall be afforded an opportunity to appear in person and/or be represented by counsel. If removed, the member of the Authority shall receive a written resolution of the Township Committee determining the cause for removal, and a copy of the resolution of removal shall also be delivered to the Secretary of the Authority.
A. 
The Authority shall have all powers and authority, as specifically set forth in N.J.S.A. 40:66A-36, 40:66A-37 and 40:66A-38, and it shall discharge its powers and duties in accordance with the specific provisions of these statutory sections, the provisions of which are hereby incorporated by reference as though fully set forth herein.
B. 
The specific provisions of N.J.S.A. 40:66A-39 through and inclusive of 40:66A-60, are hereby incorporated by reference as though fully set forth herein.
The Pennsauken Solid Waste Management Authority may be dissolved in accordance with the provisions of N.J.S.A. 40:66A-64.
