Pursuant to the provisions of N.J.S.A. 40:55B-1 et seq., a local Industrial Commission is hereby created and shall be known as the "Industrial Commission of the Township of Stafford." The Industrial Commission is hereby authorized to do business as the Stafford Township Business Park Commission, hereinafter referred to as the "Commission."

A. 
Powers. The Commission of the Township of Stafford shall be a body corporate having the powers enumerated in N.J.S.A. 40:55B-1 et seq.
B. 
Mayor's veto of Commission action.
(1) 
Notice of any contract for the sale, lease, option to purchase or lease or other transfer of real property or any interest therein proposed by the Commission shall be submitted to the Mayor of the Township whereupon such proposed Commission action shall be subject to the Mayor's veto. The Mayor shall exercise the veto power over this proposed action by a written veto to the Commission. The Mayor shall have 10 days, Saturdays, Sundays and holidays excepted, after receiving notice of the action to exercise the veto power. The Mayor's veto power shall be exercised in accordance with the following guidelines:
(a) 
The action conforms to the Master Plan of the community.
(b) 
The action is environmentally compatible with the community.
(c) 
The action complies with the zoning of the industrial area.
(d) 
The project complies with the policies and procedures established by the governing body in cooperation with the Commission.
(2) 
If a mayoral veto is exercised during the specified time period, the action of the Commission shall be considered null and void. If no veto is exercised during the specified time period, the action of the Commission shall be considered valid. The Mayor, upon receiving notice of the action, may, in writing, notify the Commission of the approval of the action before the expiration of the ten-day period.
C. 
Separate action by Township Council to transfer Township property. If the Commission enters into a contract to transfer property owned by the Township to a third party, the obligation of the Commission to transfer the property shall be contingent upon the governing body of the Township adopting an ordinance transferring the subject property to the Commission. The Township Council shall use its sole discretion in determining whether to transfer the property to the Commission. The Township Council shall not be bound by any actions or inaction of the Mayor or the Commission in regard to any contract the Commission may sign with a third party to transfer property owned by the Township.
The Commission of the Township of Stafford shall consist of seven members. The members of the Commission of the Township of Stafford shall be appointed by the governing body of the Township in accordance with the provisions set forth below:
A. 
One member shall be appointed for one year, one member for two years, one member for three years, two members for four years and two members for five years. At the expiration of each of the above terms, the new member or members shall be appointed for a term of five years.
B. 
Vacancies in the membership of the Commission shall be promptly filled by appointment by the governing body for the unexpired term.
C. 
Members of the Commission shall serve for their respective terms and until their successors are appointed and qualify.
D. 
No more than four members of the Commission shall be from the same political party.
E. 
Each member of the Commission shall, before assuming office, take and subscribe to an oath that he will faithfully and impartially discharge the duties of his office.
F. 
A member of the governing body of the Township shall not be appointed as a member of the Commission.
G. 
The Mayor of the Township shall be an ex officio member of the Commission, but he shall not have voting privileges.
To be appointed as a member of the Commission, an individual must meet the following requirements:
A. 
Be a citizen of the United States and a qualified voter of the State of New Jersey for five years preceding appointment to the Commission.
B. 
Have experience in industry or commerce and shall be conversant with industrial needs and facilities of the Township of Stafford and shall have shown devotion to public service.
C. 
Unless local conditions require otherwise, one member shall be a representative of industry or commerce, one member a representative of labor, one member a representative of the clearinghouse of banks in the Township, one member a representative of the Chamber of Commerce, one member a representative of service clubs in the Township, one member a representative of the legal profession and one member a representative of a recognized real estate dealers' association.
Members and officers of the Commission shall serve without compensation, but each shall receive his actual disbursements for his expenses in performing his duties.
A majority of the members of the Commission shall constitute a quorum of the Commission. The members of the Commission shall annually choose one of its members as Chairperson or President and such other officers as it may deem necessary.
A member of the Township Council shall be appointed as liaison to the Commission. The Council liaison shall have the right to attend and participate in discussions at all Commission meetings. The Council liaison shall not have a vote on the Commission.
