York County, PA Susquehanna Area Regional Airport Authority

The Commissioners and the Chief Clerk are authorized and directed to execute, on behalf of this county, Articles of Incorporation for such Authority in substantially the following form:

Articles of Incorporation
To the Secretary of the Commonwealth of Pennsylvania:
In compliance with requirements of the Act of Assembly approved May 2, 1945, P.L. 382, as amended and supplemented, known as the "Municipality Authorities Act of 1945," and pursuant to appropriate legislation duly enacted by the municipal authorities of the City of Harrisburg, Dauphin County, Pennsylvania, the City of York, York County, Pennsylvania, the County of Cumberland, Pennsylvania, the County of Dauphin, Pennsylvania, and the County of York, Pennsylvania, expressing the intention and desire of the municipal authorities of said municipalities to organize a Joint Authority under provisions of said Act, said municipalities certify:
1.	The name of the Authority is "Susquehanna Area Regional Airport Authority."
2.	The Authority is formed under provisions of the Act of Assembly approved May 2, 1945, P.L. 382, as amended and supplemented, known as the "Municipality Authorities Act of 1945," to engage in acquiring, holding, constructing, financing, improving, maintaining and operating, owning, and leasing, either in the capacity of lessor or lessee, all of the assets constituting the Harrisburg International Airport and the Capital City Airport. The Authority shall have no power to pledge the credit or taxing power of the County of York and the other incorporating municipalities, as herein defined, or the Commonwealth of Pennsylvania or any political subdivision thereof; nor shall bonds issued by the Authority be deemed to be obligations of the County of York and the other incorporating municipalities, the Commonwealth of Pennsylvania or any political subdivision thereof; nor shall the County of York and the other incorporating municipalities, the Commonwealth of Pennsylvania or any political subdivision thereof be liable for the payment of premium, if any, or interest on the bonds; nor shall the members, officers or employees of the Authority personally be liable on the Authority obligations.
3.	No other authority has been organized under provisions of the Act or under provisions of the Act of Assembly approved June 28, 1935, P.L. 436, as amended and supplemented, and is in existence in or for the incorporating municipality, except that:
	A.	The municipal authorities of the City of Harrisburg, Dauphin County, Pennsylvania, heretofore organized the following Authorities which are in existence in and for the City of Harrisburg:
		1.	Broad Street Market Authority;
		2.	Capital Area Regional Solid Waste Authority;
		3.	Cumberland-Dauphin-Harrisburg Transit Authority (registered fictitious name of Capitol Area Transit Authority);
		4.	The Harrisburg Authority;
		5.	Harrisburg Housing Authority;
		6.	Harrisburg Leasing Authority;
		7.	Harrisburg Parking Authority;
		8.	Harrisburg Redevelopment Authority;
		9.	Job Development Authority.
	B.	The municipal authorities of the City of York, York County, Pennsylvania, heretofore organized the following Authorities which are and for the City of York:
		1.	General Authority of the City of York;
		2.	Sewer Authority – City of York;
		3.	Redevelopment Authority – City of York.
	C.	The municipal authorities of Cumberland County, Pennsylvania, heretofore organized the following Authorities which are in existence in and for the County of Cumberland:
		1.	Cumberland County Industrial Development Authority;
		2.	Cumberland County Municipal Authority;
		3.	Cumberland County Housing Authority;
		4.	Cumberland County Redevelopment Authority;
		5.	Cumberland County Solid Waste Authority;
		6.	Cumberland County Transportation Authority;
		7.	Susquehanna Valley Regional Airport Authority;
		8.	Cumberland-Dauphin-Harrisburg Transit Authority (registered fictitious name of Capitol Area Transit Authority);
		9.	Letort Regional Authority.
	D.	The municipal authorities of Dauphin County, Pennsylvania, heretofore organized the following Authorities which are in existence in and for the County of Dauphin:
		1.	Cumberland-Dauphin-Harrisburg Transit Authority (registered fictitious name of Capitol Area Transit Authority);
		2.	Dauphin County General Authority;
		3.	Dauphin County Hospital Authority;
		4.	Dauphin County Housing Authority;
		5.	Dauphin County Redevelopment Authority;
		6.	Dauphin County Industrial Development Authority;
		7.	Dauphin County Intermunicipal Solid Waste Authority;
		8.	Susquehanna Valley Regional Airport Authority.
	E.	The municipal authorities of York County, Pennsylvania, heretofore organized the following Authorities which are in existence in and for the County of York:
		1.	York County Industrial Development Authority;
		2.	York County Hospital Authority;
		3.	York County Solid Waste and Refuse Authority;
		4.	York County Transportation Authority;
		5.	Air Transportation Authority of York County;
		6.	York County Redevelopment Authority;
		7.	Susquehanna Valley Regional Airport Authority;
		8.	York County Rail/Trail Authority;
		9.	Maryland and Pennsylvania Preservation Authority.
4.	The term of existence of the Authority shall be for a period ending January 1, 2046.
5.	The names of the incorporating municipalities are:
	A.	City of Harrisburg, Dauphin County, Pennsylvania;
	B.	City of York, York County, Pennsylvania;
	C.	County of Cumberland, Pennsylvania;
	D.	County of Dauphin, Pennsylvania;
	E.	County of York, Pennsylvania.
6.	The names of the municipal authorities of said incorporating municipalities are:

While serving as a member of the Board of Directors, and for five years subsequent to the expiration of such member's term, no individual shall become employed by or enter into any business relationship regarding any matter which is the subject of Authority business in general and the operations of either or both of the airports, in particular. It is specifically intended that this provision shall include any Director, any business in which the Director retains an equitable interest, such as a corporation, partnership or unincorporated association, as well as any and all similar businesses in which any immediate member of a Director's family may have an interest.
