There is hereby created a board to be known as the "Doña Ana County International Jetport Advisory Board (AAB)," to be composed of seven members. At least five of the seven members shall be residents of Doña Ana County and at least two of the seven members shall be tenants at the Jetport. No member of the AAB shall be an owner, officer, principal or employee of any business that does regular business with the Airport, nor shall any AAB member be a member of any other Airport board. There shall be a Chair, Vice Chair and Secretary of the AAB.
This article is enacted pursuant to the statutory authority granted Doña Ana County in NMSA §§ 4-37-1, 4-38-31 and 3-39-4.
As used in this article, the following terms shall have the meanings indicated:
AAB
The Doña Ana County International Jetport Advisory Board.
AIRPORT
The Doña Ana County International Jetport at Santa Teresa.
COUNTY
Doña Ana County.
COUNTY COMMISSION
The Board of County Commissioners of Doña Ana County.
With the advice of the Airport Manager, the County Commission, by majority vote of all the members present and voting, shall make the appointments and reappointments to the AAB. Each member shall serve a term of three years, such terms ending on June 30 of the third year. Should a vacancy occur during a member's term, it shall be filled in the same manner as appointments and be for the remainder of the unexpired term.
A. 
The County Commission is empowered to improve and facilitate public travel and transportation. In order to protect the investment in the Airport created in southern Doña Ana County in 1982 and ensure the present and future vitality of the Airport, and any future County airport(s), the County Commission from time to time adopts policies, plans, zoning laws and regulations. It is the responsibility of the AAB to advise and recommend to the County Commission such actions so as to facilitate that purpose. It is also the AAB's responsibility to facilitate growth, assist in attracting new tenants and advise the County Commission on policy matters concerning the development of the airports.
B. 
The AAB may recommend to the County Commission such rules and regulations as it may deem necessary and expedient for the proper operation and management of the Airport and its related properties and facilities. The AAB may also recommend to the County Commission that it alter, change or amend such Airport rules and regulations and may also make recommendations to the Airport Manager on matters that might improve the efficient, effective, and safe operation of the Airport.
C. 
No individual member of the AAB shall speak for the AAB on any topic unless that topic has been discussed in open session and a resolution has been appropriately passed by the AAB.
D. 
The AAB may also provide a forum for Airport tenants and users to raise and discuss Airport issues and to provide information and make recommendations to the Airport Manager. Only a majority of the AAB has the authority to recommend policy and procedure implementations or changes through the Airport Manager.
The AAB shall conduct its meetings and operations in accordance with the bylaws adopted by the County Commission for that purpose.[1]

A. 
The members of the AAB shall receive no compensation for their services.
B. 
No Board member shall hold any elective office under Doña Ana County government while serving as a member of the AAB. The composition of the membership must be as identified in § 9-9 with the additional requirement that at least one member of the AAB must be a current FAA-certified fixed-wing or rotary-wing pilot. No member of the Airport Board may be an owner, partner, controlling stockholder, employee, or agent for any company doing regular business with any Doña Ana County Airport; nor may such person represent, in any kind of fiduciary relationship, any such company.
C. 
Any member of the AAB who, after having been named to the AAB, subsequently develops a conflict of interest shall immediately notify the officers of the AAB and the Airport Manager and shall resign forthwith. Failure to submit such notification or to resign shall be considered grounds for removal with cause.
D. 
The meetings of the AAB shall be subject to the New Mexico Open Meeting Act.[1] The AAB shall meet no less than every month and more often as necessary. Meetings shall also be held at the call of the Chair and at such other times as the AAB may decide. One of these meetings shall be in July and include the election of officers for the ensuing year. There shall be a Chair, Vice Chair and Secretary of the AAB. The Chair shall be first elected, followed by the Vice Chair, and the Secretary.

E. 
The AAB shall adopt such rules and regulations as may be appropriate for the orderly conduct of business during its meetings and that are in harmony with this article. The AAB shall keep minutes of its proceedings, showing the vote of each member on each question or, if absent or failing to vote, indicating such fact. The AAB shall keep records of its examination and other official action.
A. 
A member who has three unexcused absences within a twelve-month period shall be removed by the County Commission. With regard to absent members, the quorum (excluding the subject member) will make the determination at each meeting whether the member not present is considered excused or unexcused, upon learning of the reason for the absence.
B. 
Members of the AAB are among the persons that are required to observe the provisions of the County Code of Conduct. See Chapter 14, Code of Conduct.
C. 
Members of the AAB may be removed for cause by a majority of the County Commission present and voting, but a minimum of three votes shall be required for such removal. In the event of such removal for cause, the AAB member shall have right of appeal as though the person were a County employee. The County Commission may, by a two-thirds vote of members present and voting, remove any member of the AAB without cause, but no fewer than three members of the County Commission must vote for removal in any such vote. In a case of removal without cause, there shall be no appeal.
In the performance of its official functions, the AAB may be assisted by the County Airport Manager and his/her staff taking minutes at the meetings and ensuring the efficient administration and conduct of the meetings. The Airport Manager shall act as liaison between the AAB and County. The AAB shall communicate with the County Commission and the County officers and employees through the Airport Manager. No member of the AAB has the authority to give an order or direction to any County officer or employee.
The County Attorney shall serve as ex officio legal counsel for the AAB.
With the approval of this resolution, Resolution 2010-08 is repealed and superseded by the terms and conditions of this resolution.
