As used in this chapter, the following terms shall have the meanings indicated:
BOARD
A governing authority authorized by the state statues of Wisconsin. Actions taken by a board need not be referred to the Village Board for approval.
CHAIRPERSON
The presiding officer of a commission, board, or committee.
CITIZEN MEMBER
A citizen of Kronenwetter who is a member of a commission, board or committee who does not hold an elected Village office and is not an employee of the Village.
COMMISSION
A governing authority authorized by the state statues of Wisconsin and the ordinances of the Village of Kronenwetter. A commission has the power to take some, but not all, actions as specified in the state statues without referring them to the Village Board.
COMMITTEE
Both standing committees and special committees.
SPECIAL COMMITTEE
A specific temporary committee created by the Village Board from time to time for a specific purpose.
STANDING COMMITTEE
A governing body authorized by the ordinances of the Village of Kronenwetter.
SUBCOMMITTEE
A small group of commission or committee members designated to meet for in-depth discussion of an issue.
TRUSTEE
An elected or appointed Village Trustee and the Village President.
VILLAGE BOARD
The elected governing authority of the Village of Kronenwetter, namely the seven Village Trustees, including the Village President.
The purpose of the Village commissions, boards, and committees is to assist the Village Board in carrying out its responsibilities in serving the citizens and property owners of the community. Commissions, boards, and committees shall review such matters as may be referred to them by the Village Board, perform duties as listed in the Code or in state statutes, and submit recommendations to the Village Board when appropriate. All matters referred to a commission, board, or committee by the Village Board may be taken up at its next meeting. Multiple commissions, boards, or committees may need to work on an issue in cooperation with one another prior to referral to the Village Board. In addition, the Village Board may act upon items that fall under the responsibility of a committee should the committee be unable to meet in a timely manner.
In any instance where the Wisconsin Statutes may conflict with these provisions, the Statutes shall apply.
Each commission, board, and committee shall consist of a number of members as set forth in the Code. Unless otherwise specified, all members shall be residents of the Village.
The Village President appoints members to commissions, boards, and committees with consultation and confirmation by the Village Board. Regular appointments shall take place at the Village Board's second regular meeting in April. Vacancies on commissions, boards, or committees shall follow the same appointment policy and be filled as soon as possible.
The Village Board may at any time remove a commission, board, or committee member with the approval of five members of the Village Board.
A. 
Unless otherwise provided, the term of office for each citizen member shall be for three years, and shall become effective May 1.
B. 
Terms for citizen members shall be staggered so that a minimum of one term and a maximum of two terms end each year for each commission, board, and committee.

C. 
Unless otherwise provided, terms of office for Village Trustees on any commission, board, or committee described in this chapter shall be one year. Citizen members who subsequently become members of the Village Board shall resign from their appointed commissions, boards, or committees.
D. 
A person who is appointed to fill a vacancy on any commission, board or committee shall serve for the remainder of the vacated term.
E. 
Persons appointed to special committees shall serve until the committee ceases to exist or until removed.
Each commission, board, and committee shall meet as necessary to perform its duties. A quorum of members shall be in attendance in order to conduct its business, exercise its powers, and for all other purposes. All meetings shall be held in compliance with the provisions of the Open Meeting Laws of the State of Wisconsin,[1] and shall convene at the Kronenwetter Municipal Center, unless otherwise noticed. All meetings and actions shall be governed by Robert's Rules of Order.

All members shall faithfully discharge their official duties to the best of their abilities, as provided in the oath of office, Wis. Stats. § 19.01, in accordance with, but not limited to, the provisions of the Wisconsin Statutes on: Public Records, §§ 19.21 to 19.39; Code of Ethics for Local Government Officials, §§ 19.42, 19.58 and 19.59; Open Meetings, §§ 19.81 to 19.89; Misconduct in Office, § 946.12; and Private Interests in Public Contracts, § 946.13. Commission, board, and committee members shall further perform their duties in a fair and rational manner and avoid arbitrary actions.
A. 
Except as otherwise provided, at the initial meeting and at the first meeting on or after May 1 of each year thereafter, each commission, board, and committee shall elect a Chairperson and Vice Chairperson. The Chairperson of each committee shall be a Village Trustee. Any of the remaining members of the committee shall be eligible to serve as the Vice Chairperson of the committee. The same person on any committee shall not be allowed to serve as both the Chairperson and the Vice Chairperson of the committee. No Chairperson shall serve in said position for a fourth consecutive one-year term. When two or more individuals have been nominated for a position, voting shall be done by secret ballot.

B. 
The Chairperson shall:
(1) 
Provide leadership to the commission or committee.
(2) 
Set meeting and hearing dates with the help of the commission, board, or committee.
(3) 
Provide notice of meetings and hearings and set the agendas, personally or by his or her designee, and present to the Village Clerk or designee such agenda in a timely manner.
(4) 
Preside at meetings or hearings.
(5) 
Ensure that the laws are followed.
C. 
The Vice Chairperson will fill the role of the Chairperson in his or her absence.

A. 
For each commission, committee, and board, the Village Administrator shall appoint a member of the Village staff to serve as Secretary.
B. 
The Secretary shall:
(1) 
Keep an accurate record of the proceedings of the meetings.
(2) 
Submit minutes of meetings to the Village Clerk or designee in a timely fashion.
C. 
In the event of the absence of the Secretary, a temporary Secretary shall be appointed. For commissions, committees, and boards, the Administrator shall appoint an appropriate staff person.
Citizen members shall receive a per diem amount for all posted meetings of said commission, board, or committee meeting the member attends regardless of the presence of a quorum. The amount is set from time to time by the Village Board. Participation in commissions, boards, and committees is considered part of the duties of a Village Board member, so no additional compensation shall occur.
The Chairperson shall make reports of all pending matters whenever requested to do so by the Village Board.
The Village President shall not serve as an ex officio member of a commission, board, or committee. The Village President may be appointed to commissions, boards, or committees just as any Trustee; and may serve as Chairperson of any commission or committee unless otherwise specifically prohibited.
