The Council of the Borough of Tyrone hereby signifies its intention
to organize an Authority under the provisions of the Municipality
Authorities Act of 1945 (the "Act").[1]

The name of the proposed Authority is "Tyrone Borough Authority."
In pursuance of said intention, the Articles of Incorporation of the
said Authority are hereby approved and adopted in the form attached
hereto as Exhibit "A" and incorporated herein by this reference.[1]

The first members of the Board of said Authority, named in the
aforesaid Articles of Incorporation, are hereby specifically appointed
members of said Board for the terms set after their respective names,
commencing on the date of appointment and computed from the first
Monday in January 1998. Said terms of office of all subsequent appointees
shall be for a term of five years with the exception of the first
members of said Board and those appointees filling unexpired terms.
The President or Vice President of the Council of the Borough
of Tyrone is hereby authorized and directed to execute said Articles
of Incorporation on its behalf, and the Manager/Secretary is hereby
authorized and directed to affix thereto and attest the seal of the
Borough. Said officers are further authorized and directed to cause
a notice of intention to file said Articles of Incorporation to be
published as required by law, and to file said Articles of Incorporation,
together with a certified copy of this article and required proofs
of publication, with the Secretary of the Commonwealth of Pennsylvania,
and to take all such action as they may deem necessary or appropriate
to organize said Authority.
The purposes and projects of said Authority are as follows:
A.
To
provide for the waterworks, water supply works, and water distribution
systems within the area of the Authority or portions thereof, by acquiring,
holding, constructing, improving, maintaining and operating, by owning
or by leasing either in the capacity of lessor or lessee, waterworks,
water supply systems, and parts thereof, and by acquiring, holding,
constructing, improving, maintaining or operating water treatment
works and/or by entering into contracts with other municipalities
or municipal authorities to accomplish the same.
B.
To
provide such other public works of whatever nature as may be necessary
for the proper functioning of the Borough of Tyrone as the same may
be requested by the Borough of Tyrone from time to time.
C.
Undertake
any other purpose which might require the joint cooperation and action
of the said municipality to accomplish such purposes.
