It is the joint desire and intention of the municipal authorities of the City of Washington and the Borough of East Washington, both municipalities of the Commonwealth of Pennsylvania and both situated in Washington County, to organize an authority under the Municipality Authorities Act of 1945, designated as Act No. 164, approved May 2, 1945, together with all supplements thereof, and amendments thereto, for the purpose of exercising and enjoying all the powers of said Act, its supplements or amendments.[1]

The name of the proposed authority is "The Washington-East Washington Joint Authority."

The proposed Articles of Incorporation of said Authority are as follows:
Municipal Authority Articles of Incorporation to the Secretary of the Commonwealth of Pennsylvania
In compliance with the Municipal Authorities Act of 1945, its supplements and amendments, the City of Washington and the Borough of East Washington, both situated in Washington County and both municipalities of the Commonwealth of Pennsylvania, pursuant to identical ordinances duly adopted by the representative municipal authorities of said municipalities, signifying their joint desire and intention to form an Authority, hereby certify:
1.
The name of the Authority shall be: "The Washington-East Washington Joint Authority."
2.
This Authority is formed under the Municipality Authorities Act of 1945, its supplements and amendments.[1]
3.
No other joint authority organized under the Municipality Authorities Act of 1945, its supplements or amendments, the Act approved June 28, 1935, P.L. 463, as amended, is in existence in or for the incorporating municipalities named herein.
4.
The purpose of the Authority is to construct and/or otherwise provide facilities necessary to furnish the treatment of sewage wastes from the incorporating municipalities and from such other political subdivisions or areas as the same may be served with the facilities of the Authority; and to purchase, operate and/or construct and maintain or otherwise provide for a waterworks system for the purpose of supplying water to the incorporating municipalities and to such other political subdivisions or areas as the same may be served with the facilities of the Authority.
5.
The respective names of the incorporating municipalities are: The City of Washington and The Borough of East Washington.
6.
The names and address of the Mayor and the members of Council of the City of Washington, such persons being the municipal authorities of said municipality, are as follows:[2]

7.
The membership of the Board of the Authority to be formed hereby shall be apportioned so that the City of Washington shall have four members and the Borough of East Washington shall have one member.

The names and addresses and terms of office of the first Board of the Authority to be formed hereby are as follows:[4]

The total annual salary to be paid the Authority Board members shall be: Chairman, $1; and for each of the other members, $1. Said salaries shall be paid either in regular monthly or quarterly installments as the Authority Board may decide upon.
The Articles of Incorporation of said Authority are substantially the form set forth in § 14-3 of this article, shall be executed on behalf of the City of Washington by the Mayor and under its municipal seal, attested by the City Clerk of the City of Washington, and on behalf of the Borough of East Washington and under its municipal seal, attested by the Secretary of said Borough, and such officers are hereby authorized, empowered and directed to do all things necessary and appropriate to effect and establish the said Authority in conformity with the Municipal Authorities Act of 1945, its supplements and amendments.[1]

The adoption of this article is deemed necessary for the benefit and preservation of the public health, peace, comfort and general welfare, and will increase the prosperity of the people of the City of Washington and the Borough of East Washington.

The Mayor is hereby authorized and directed, on behalf of the City of Washington, to execute and deliver to the Washington-East Washington Joint Authority an assignment of all of the rights, title and interest of the City in and to the sewerage permit dated March 2, 1949 (a duplicate of which is dated June 30, 1953, and is recorded in the office of the Recorder of Deeds of Washington County), issued by the Sanitary Water Board of the Department of Health of the Commonwealth of Pennsylvania for the construction of intercepting sewers and sewage treatment works, upon consummation by said Authority of the sale of the initial issue of $2,650,000, principal amount of the Authority's sewer revenue bonds, 1953 Series.

The term of existence of the Authority shall be increased to a date 50 years from the date of approval of these articles of amendment by the Secretary of the Commonwealth.
