Where they appear in this Charter, the following terms shall
be explained: "Town" shall mean the Town of Medfield; "Annual Town
Meeting" shall mean the annual Town meeting for the transaction of
business; words importing the masculine gender shall include the feminine.
Where provisions of this Charter conflict with provisions of
Town Bylaws, rules, regulations, orders, and special laws, the Charter
provisions shall govern. All provisions of Town Bylaws, rules, regulations,
orders, and special laws not superseded by this Charter shall remain
in force.
If any provisions of this Charter are held invalid, the other
provisions of the Charter shall not be affected thereby. If the application
of the Charter or any of its provisions to any person or circumstance
is held invalid, the application of this Charter and its provisions
to other persons and circumstances shall not be affected thereby.
To the extent that any specific provision of this Charter shall
conflict with any provision expressed in general terms, the specific
provision shall prevail.

The Select Board shall annually cause to be prepared a recodification
of all existing Bylaws of the Town. Copies of the said Bylaws and
copies of this Charter shall be made available in suitable form in
the office of the Town Clerk. An amount not to exceed the actual cost
per copy of reproduction may be charged.

Amendments to this Charter relating in any way to the composition
of the Town Meeting or the composition or mode of election or terms
of office of the Select Board may be proposed only by a Charter Commission
elected under the Massachusetts General Laws.
Proposed amendments under this Charter shall be acted upon by
ballot of the whole Town at a regular or special election of Town
officers in accordance with the Massachusetts General Laws.
The Select Board shall, every 10 years, form a committee to
study the working of Town government and recommend procedures to revise
the Charter if that is deemed advisable.

The Select Board shall have the power to declare a state of
emergency. If a state of emergency exists and if one Select Board
Member is unable to participate in directing remedial activities,
his or her duties shall be assumed by the Treasurer to constitute
a three-man board. If the Treasurer is unavailable or if more than
one Select Board Member is unable to perform his or her duties, responsibility
shall be assumed by the Chairman of the Planning Board, the Moderator
or the Town Clerk in the order listed and as may be required.
