Pursuant to the provisions of Act 280 of the Public Acts of 2005, MCLA § 125.2871 et seq. ("Act"), and for the purpose of creating a commercial corridor to promote economic growth and for those purposes delineated in the Act, the City of Holland establishes the Columbia ART District (the "CAD") as a corridor improvement authority.

The Corridor Improvement Authority/CAD shall have such powers and authority as are delineated in the Act, and specifically those powers designated pursuant to MCLA § 125.2881, as now existing or hereafter amended.

The boundaries of the Corridor Improvement Authority/CAD which shall constitute the development area within which the Authority may exercise its powers are described as follows:
Beginning at the intersection of 15th Street and Columbia Avenue; thence west 118; thence south 165.65 to the southwest corner of Lot 1, Block 458, Assessor's Plat No. 2; thence west 19.45 to the northwest corner of Lot 40, Block 458, Assessor's Plat No. 2; thence south 495 to the center line of 17th Street, said point being 33 south of the southwest corner of Lot 19, Block 202, Bosman's Addition; thence east to the intersection of 17th Street and Columbia Avenue; thence southerly along the center line of Columbia Avenue to the intersection of 22nd Street and Columbia Avenue; thence east 170 more or less to the intersection of 22nd Street and Columbia Avenue; thence southerly along the center line of Columbia Avenue to the intersection of 24th Street and Columbia Avenue; thence east 650 more or less to the center line of CSX Railroad right-of-way; thence northwesterly along said center line to a point being 50 east of the northeast corner of Lot 1, Block 320, Bosman's Addition; thence west 96 to the northwest corner of Lot 1, Block 320, Bosman's Addition; thence south 138 to the northwest corner of Lot 14, Block 320, Bosman's Addition; thence west to the northeast corner of Lot 10, Block 320, Bosman's Addition; thence north along the easterly lot line of Lot 5, Block 320, Bosman's Addition, to the center line of 18th Street; thence westerly along said center line 92 to a point being 33 south of the southwest corner of Lot 9, Block 228, Bosman's Addition; thence north to the northwest corner of Lot 9, Block 228, Bosman's Addition; thence east 55 to a point directly south of the southeast corner of Lot 6, Block 228, Bosman's Addition; thence north along the east lot line of Lot 6, Block 228, Bosman's Addition, to the center line of 17th Street; thence west 1; thence north to the center line of the vacated alley of Block 226, Bosman's Addition; thence west to the center line of Columbia Avenue; thence north 312 along said center line; thence east 88 to a point 50 north of the southwest corner of Lot 7, Block 479, Assessor's Plat No. 2; thence west 88 along the north lot line of Lot 6, to the center line of Columbia Avenue; thence north to POB.
The development area, as described above, is depicted on a map on the attached Exhibit A, the terms of which are incorporated by reference.

(a) 
The Corridor Improvement Authority/CAD shall be under the supervision and control of a board consisting of the City Manager or his/her assignee and eight members. Members shall be appointed by the City Manager subject to the approval of the City Council. Not less than a majority of the members of the Board shall be persons having an ownership or business interest in property located in the development area as described in Section 2-99.7. At least one of the members shall be a resident of the development area as described in Section 2-99.7 or of an area within 1/2 mile of any part of the development area. Of the members first appointed, an equal number of the members, as near as practicable, shall be appointed for one year, two years, three years, and four years. A member of the Board shall hold office until the member's successor is appointed. After initial appointment, each member shall serve a term for four years. An appointment to fill a vacancy shall be made by the City Manager for the unexpired term only. All members of the Board shall serve without compensation, but shall be reimbursed for actual and necessary expenses. The chairperson of the Board shall be elected by the members of the Board.
(b) 
Before assuming the duties of office, a member of the Board shall be qualified by taking and subscribing to the constitutional oath of office.
(c) 
The proceedings and rules of the Board shall be subject to the Open Meetings Act, Public Act 267 of the Acts of 1976 (MCLA §§ 15.261 to 15.275). The Board shall adopt rules governing its procedure and holding of regular meetings, subject to the approval of the City Council. Special meetings of the Board may be called in the manner provided in the rules of the Board.
(d) 
After having been given notice and an opportunity to be heard, a member of the Board may be removed for cause by the City Council.
(e) 
All expense items of the authority shall be published monthly and the financial records shall be open to the public. For purposes of this section, "published" shall mean that the expenses of the authority are duly recorded in the minutes of the authority.
(f) 
A writing prepared, owned, used, in the possession of, or retained by the Board in the performance of an official function is subject to the Freedom of Information Act, Public Act 442 of 1976 (MCLA §§ 15.231 to 15.246).

The City of Holland retains the right to dissolve the Authority, by ordinance, in the event it has completed the purposes for which it was organized. In the event of dissolution, the property and assets of the authority remaining after the satisfaction of the obligations of the authority shall belong to the City of Holland.
