There is hereby created the Bannockburn Emergency Telephone System Board (the "ETS Board").
The President and Board of Trustees delegate to the ETS Board the following powers and duties:
A. 
To plan, or to negotiate with another public agency or other public agencies for the planning of, an E9-1-1 system;
B. 
To coordinate and supervise, or to negotiate with another public agency or other public agencies for the coordinating and supervising of, the implementation, upgrading, and maintenance of an E9-1-1 system, including the establishment of equipment specifications and coding systems;
C. 
To receive monies from the surcharge described herein, and from any other source, for deposit into the emergency telephone system fund (the "fund");
D. 
To authorize all disbursements from the fund;
E. 
To hire, or to negotiate with another public agency for the hiring of, on a temporary basis, any staff necessary for the implementation or upgrade of an E9-1-1 system;
F. 
To advise the President and Board of Trustees with respect to the implementation; upgrading, and maintenance of an E9-1-1 system;
G. 
To prepare a biannual report to the President and Board of Trustees of the activities of the ETS Board;
H. 
To respond to inquiries, complaints, and requests for information received from the President and Board of Trustees and the citizens of the Village; and
I. 
To undertake and pursue other matters and activities as may be specifically directed by ordinance duly adopted by the President and Board of Trustees.
The ETS Board shall be organized in the following manner:
A. 
The ETS Board shall consist of at least five voting members, and in addition the Police Chief of the Village shall serve as an ex-officio member. One of the voting members shall be a public member who is a resident of the local exchange service territory included in the 9-1-1 coverage area, and at least three of the voting members shall be representatives of the 9-1-1 public safety agencies and appointed by the Village President on the basis of their ability or experience, subject to confirmation by a majority of the Board of Trustees.

B. 
Each member shall hold his or her office until his or her respective successor is duly appointed and qualified.
C. 
One of the voting members so appointed shall be designated as Chairperson of the ETS Board by the Village President, which designation shall be confirmed by the Board of Trustees, and shall hold his or her office as such Chairperson until his or her respective successor is duly designated and qualified.
D. 
The ex-officio member so appointed is hereby designated as Secretary of the ETS Board and shall hold his or her office as such Secretary until his or her respective successor is duly designated and qualified.
E. 
The Chairperson and other ETS Board members shall serve at the pleasure of the President and Board of Trustees.
F. 
The ETS Board members shall serve without compensation but shall be reimbursed for their actual and necessary expenses.
G. 
The Board of Trustees may, by a vote of the majority of the members elected, remove an ETS Board member for misconduct, official misconduct, or neglect of office.

A. 
All monies received by the ETS Board pursuant to the surcharge described herein, and from any other source, shall be deposited into the fund.
B. 
The Village Treasurer shall be custodian of the fund.
C. 
All interest accruing on the fund shall remain in the fund.
D. 
No expenditures may be made from the fund except under the direction of the ETS Board by resolution passed by a majority of all voting members of such Board.
E. 
Expenditures from the fund may be made only to pay for the costs associated with the following:
(1) 
The design of the E9-1-1 system;
(2) 
The coding of an initial master street address guide database, and update and maintenance thereof;
(3) 
The repayment of any monies advanced for the implementation of the E9-1-1 system;
(4) 
The charges for automatic number identification and automatic location identification equipment, a computer-aided dispatch system that records, maintains, and integrates information, mobile data transmitters equipped with automatic vehicle locators, and maintenance, replacement, and update thereof to increase operational efficiency and improve the provision of emergency services;

(5) 
The nonrecurring charges related to installation of the E9-1-1 system and the ongoing network charges;
(6) 
Other products and services necessary for the implementation, upgrade and maintenance of the E9-1-1 system and any other purpose related to the operation of such system, including costs attributable directly to the construction, leasing, or maintenance of any buildings or facilities or costs of personnel attributable directly to the operation of such system; provided, however, that costs attributable directly to the operation of the E9-1-1 system do not include the costs of public safety agency personnel who are and equipment that is dispatched in response to an emergency call; and
(7) 
The implementation of a computer-aided dispatch system or hosted supplemental 9-1-1 services.

A. 
All meetings of the ETS Board shall be held at the call of the Chairperson and at such other times as the ETS Board may determine. The ETS Board may meet as necessary but shall meet at least once during each calendar year.
B. 
A majority of the ETS Board members duly appointed and serving, including the Secretary, shall constitute a quorum for the conduct of business.
C. 
The Chairperson shall preside over all ETS Board meetings, shall preserve order and decorum, and shall conduct meetings in an orderly fashion. In his or her absence, the Chairperson shall designate one of the other voting members of the ETS Board as Chairperson Pro Tempore, and such member shall assume the Chairperson's duties and responsibilities during such absence.
D. 
The Secretary shall be responsible to prepare the agenda and keep and maintain the records of the ETS Board and shall not be a voting member of the ETS Board.
E. 
Each ETS Board member except the Secretary shall be entitled to one vote. No proxy or in-absentia voting shall be permitted. The affirmative vote of a majority of the members duly appointed and serving and entitled to vote shall be required to approve any ETS Board action.
F. 
Except where inconsistent with this article, the latest edition of Robert's Rules of Order shall govern the proceedings of the ETS Board.
G. 
The ETS Board may adopt any additional rules of procedure which are not inconsistent with this article.
H. 
All meetings of the ETS Board shall be subject to the provisions of the Illinois Open Meetings Act (5 ILCS 120/1 et seq.).
Vacancies in the ETS Board shall be filled in the manner herein provided for the appointment of its members; provided, however, that the vacancy of a voting member of the ETS Board need only be filled if such vacancy results in there being fewer than five such members. A vacancy in the offices of Chairperson and Secretary shall be filled in the manner herein provided for their respective designations.
