The City of Lexington and LAA agree that LAA is hereby permitted to renovate, operate and maintain the Lexington Municipal Auditorium during the term of this agreement and any renewals and that LAA accepts possession of the premises as is, and the obligations associated therewith, in return for such income as may be generated from the operation of LMA. The City, in approving this agreement, acknowledges that this agreement is granted in the public interest in consideration of the undertakings of LAA herein expressed to preserve LMA and its historical significance, to improve and maintain the same, which the City cannot afford, and to dedicate its use to strictly public, charitable and municipal purposes.

The term of this agreement will be automatically renewing one-year periods unless and until the agreement is terminated by either party, not to exceed in any event a total of ninety-nine (99) years from the effective date.
