The name of the regional authority described in this division
shall be the George Washington Toll Road Authority.

The George Washington Toll Road Authority is implemented pursuant
to Chapter 801 of the 2009 Acts of the Assembly, to design, finance,
construct, and operate a public highway connection in the Route 3
corridor, as more specifically set forth in the authorizing legislation.
The authority shall have all those powers and duties as set forth
in the authorizing legislation.

Membership in the authority shall be two participating localities — the
City of Fredericksburg and the County of Spotsylvania. After the authority
has been in existence for at least one year, additional members from
contiguous localities may be admitted as members by a vote of at least
70% of Board members, as set forth in the authorizing legislation.

The authority shall be governed by a Board of Directors consisting
of seven members, all with voting powers: three members to be appointed
by the City of Fredericksburg from among its elected officials; three
members to be appointed by the County of Spotsylvania from among its
elected officials; and the Commissioner of the Virginia Department
of Transportation or his designee. The terms of office of each member
of the Board shall be as set forth in the authorizing legislation;
the Board shall elect such officers and adopt such rules as directed
by the authorizing legislation.

Any member locality may withdraw from the authority, provided
that member repays its share of any authority indebtedness outstanding
at the time of withdrawal. The withdrawal of all members or all but
one member shall constitute the dissolution of the authority. Upon
dissolution of the authority, all authority facilities, including
highways and limited access highways, shall revert to the participating
localities.
