There is hereby established a Municipal Cemetery Board which shall consist of seven (7) voting members, whom shall be appointed by the Mayor and approved by the City Council. In addition, the City Manager shall, by virtue of this office, serve as the as a non-voting ex officio member thereof. Members shall serve in an advisory capacity to the City Council in recommending the establishment of rules and regulations to ensure the proper and efficient maintenance and operation of said Mt. Olivet Cemetery. Members shall serve without compensation.

All members shall be over twenty-one (21) years of age and residents of Linn and Chariton Counties, and no person other than the City Manager shall be eligible to serve thereon who shall be an employee or officer of the City of Marceline.

All appointments shall be for a term of three (3) years with the term expiring on the 31st day of May of the third year following such appointment, providing that any vacancy on the Board shall be filled by appointment of the City Council and which appointment shall be for the unexpired term.

The Council may remove any member of said Board at any time without cause shown and any such removal shall constitute a vacancy to be filled as provided, and further provided that the death, resignation or removal from the City of Marceline of any member shall constitute an automatic disqualification and create a vacancy which shall be filled as provided in Section 135.180 hereof.

Within two (2) weeks following the 15th day of April of each year, the Board shall hold an annual meeting which shall be called by the City Manager at such time and place as he/she may designate; at such annual meeting, the Board shall elect from its members a Chairman and a Secretary who shall serve until the next annual meeting. The Chairman shall preside over all Board meetings and the Secretary shall accomplish minutes of all meetings and record and file all papers incident to the business of the Board, which minutes and records shall at all times be available to the City Council or the City Manager upon request.

All other meetings of the Board shall be called by the Chairman at such times and places and upon such occasions as the Chairman shall deem advisable, provided that the City Manager may call a special meeting of the Board on any occasion.

A quorum shall consist of four (4) voting members. No business of the Board shall be conducted unless a quorum shall be in attendance, provided that all decisions shall be determined by majority vote of members in attendance.

It shall be the duty and the power of said Board to examine and inspect all property of the City for cemetery purposes, to hear all complaints or suggestions offered pertaining to the operation of any Municipal Cemetery and to prepare and submit to the City Council annually at such time as the City Manager may direct a report of the conduct and operation of Municipal Cemetery business for the year preceding and any recommendations for the improvements, enlargement, beautification or alteration of cemetery premises or suggestions pertaining to the administration thereof; provided, however, that the Board shall not be empowered to obligate the City for any purpose, contract or liability and shall make no alterations, enlargement, improvement or expenditure of funds from any source to or upon cemetery premises without the express consent of the City Council.
