A.
In
1980, the Village of Mamaroneck, the Village of Larchmont, and the
Town of Mamaroneck (collectively, the "municipalities") entered into
a single agreement with UA-Columbia Cablevision of Westchester; in
November 1982 the municipalities entered into a CATV sharing agreement;
and in October 1983 Larchmont-Mamaroneck Community Television, Inc.
(LMC-TV, Inc.) was formed as a not-for-profit corporation that would
establish, maintain, and operate community cable access services for
the municipalities.
B.
The
1982 CATV sharing agreement calls for the Board of Control to be composed
of one voting member of each of the governing bodies of the respective
municipalities and the Board of Trustees wishes to establish a procedure
for the appointment of the Village of Mamaroneck appointment of its
voting member to the Board of Control.
A.
The
Board of Trustees shall appoint the Village of Mamaroneck representative
to the Board of Controls. Such appointment shall be for a term of
one year and shall be made annually at the Board's annual organizational
meeting. Any vacancy shall be filled by the Board of Trustees and
such appointee shall serve until the next annual organizational meeting.
B.
The
representative to the Board of Controls shall report to the Board
of Trustees in writing or verbally with respect to actions under consideration
and actions taken by the Board of Controls, and in particular those
actions relating to the LMC-TV budget and expenditures. Moreover,
the representative shall share with the Board of Trustees in a timely
manner all relevant information with regard to such action.
