There is hereby established in accordance with the provisions of the laws of the State, the Aurora Missouri Airport Board. The word "Board" when used in this Article shall be construed to mean the Aurora Missouri Airport Board.

The Aurora Missouri Airport Board shall consist of five (5) members, three (3) of which shall be citizens, two (2) members having no restrictions, all shall be appointed by the Mayor subject to the approval of the City Council. Members occupying the citizens positions shall be appointed for staggered terms of three (3) years each. Members occupying the unrestricted positions shall be initially appointed for terms of one (1) and two (2) years respectively, once established these positions shall serve two (2) year staggered terms. Vacancies shall be filled for the unexpired term of any member whose term becomes vacated. The Board shall elect its own Chairman who shall serve for one (1) year.

Meetings of the Aurora Missouri Airport Board shall be held at the call of the Chairman and at such other times as the Board may determine. The Board shall meet at least quarterly in January, April, July, and October. The Chairman, or in his/her absence the Acting Chairman, may administer oaths and compel the attendance of witnesses. All meetings of the Board shall be open to the public. The Board shall keep the minutes of its proceedings, showing the vote of each member upon each question, or if absent or failing to vote indicating such fact. The Board shall keep records of its examination and other official actions, all of which shall be immediately filed in the office of the City Clerk and shall be a public record. The presence of three (3) members shall be necessary to conduct official business.

The Aurora Missouri Airport Board shall have the power and duty to adopt and promulgate such rules and regulations concerning the operation and use of the Aurora Municipal Airport as may be consistent with the public interest and the public health, safety and general welfare.

The City Council reserves unto itself the power and authority to contract for the construction of any building, addition, improvement or services to the Aurora Municipal Airport and unless such contracts are executed and duly approved by resolution or ordinance duly enacted by the City Council, the same shall not be binding upon the Aurora Missouri Airport Board. This Section shall be deemed notice to all parties dealing with the Board.

The Aurora Missouri Airport Board shall be advisory in capacity to the City Council, except to the extent specifically provided in this Chapter and shall have no power to obligate or bind the general revenues of the City nor shall it have the power to bind the City for any indebtedness for any purpose. This Section shall be notice to all persons dealing with the Board.

The Mayor, at the request of the majority of the Airport Board and with the consent of the City Council, may remove any appointed member of the Airport Board at any time for good and sufficient cause, cause shall include, but not be limited to, violations of the conflict-of-interest laws, any violation of any applicable law, regulation, or policy, being in arrears to the City, neglect of duty, and failure to comply with the attendance policy.

In accordance with Aurora City Code Section 110.090, it shall constitute cause to remove any individual from a board or commission if such individual has missed three (3) or more consecutive meetings.
