The inhabitants of the City of Memphis, as its limits now are or may hereafter be defined by law, shall be and continue a body corporate by the name of "The City of Memphis" and as such shall have perpetual succession, may sue and be sued, implead and be impleaded, defend and be defended in all courts of law and equity and in all actions whatever; may receive and hold property, both real and personal, within such City and may purchase, receive and hold real estate within or without such City for the burial of the dead; and may purchase, hold, lease, sell or otherwise dispose of any property, real or personal, it now owns or may hereafter acquire; may receive bequests, gifts and donations of all kinds of property; and may have and hold one (1) common Seal and may break, change or alter the same at pleasure; and may do any act, exercise any power and render any service which contributes to the general welfare, and all courts of this State shall take judicial notice thereof.

A. 
The emblem in the form described herein and hereby made a part of this Chapter is approved and adopted by the Board of Aldermen as the official emblem of the City of Memphis, Missouri, to be used as needed for identification and promotion of functions and programs of the City of Memphis, Missouri.
B. 
Seal Described. The Seal of the City shall, as heretofore, be a seal of Justice inside of and surrounded by a scroll or circular impression having inscribed therein the words, "Seal of the City of Memphis, Missouri." The Seal shall be circular and about two (2) inches in diameter. The City Seal shall be safely kept in the office of the City Clerk.
