This Board shall be called the "Ellsinore Community Park Board."

The official name of the park shall be "Ellsinore American Legion Park."

The purpose of the Ellsinore Park Board is to provide for the leisure recreation opportunities and facilities for all residents of Ellsinore, Missouri. They shall be vested with the power, duties and obligations necessary to accomplish this purpose. They shall be charged with full responsibility for the recreation programs and park facilities under their direction.

A. 
The Board shall consist of eight (8) members. The membership shall be presented to and approved by the City of Ellsinore Board in the regular December City Board meeting each year.
1. 
One (1) member of the Park Board shall be appointed by the American Legion Post and shall serve for a term of one (1) year. The appointee must be a member in good standing of that organization. Should the local chapter of the American Legion Post disband, the reserved position on the Park Board shall be forfeited forever.
2. 
One (1) member of the Park Board shall be appointed by the East Carter County Boosters Association and shall serve for a term of one (1) year. The appointee must be a member in good standing of that organization. Should the Association disband, the reserved position on the Park Board shall be forfeited forever.
3. 
One (1) member of the Park Board shall be appointed by the East Carter County School District and shall serve for a term of one (1) year. The appointee must be a school board or staff member of the school district. Should the school district disband or cease to use the park facilities for high school and junior high baseball games, the reserved position on the Park Board shall be forfeited forever.
4. 
The remaining five (5) members shall be appointed by the Mayor with approval from the Board of Aldermen and shall serve for a term of one (1) year. To be considered for a position, the potential Board member must submit an application to City Hall prior to the regular December City Board meeting. The application shall state name, reason for serving, committee preference, other organizations served on, and ideas and suggestions. These members shall chair the committees described in Section 135.070.
B. 
Each member shall be a resident of the East Carter County School District.
C. 
The City of Ellsinore Mayor and the Board of Aldermen shall not be eligible to serve as members of the Ellsinore Community Park Board.
D. 
The members of the Park Board shall receive no compensation for performance of their official duties. They may, however, be reimbursed actual expenses incurred in the performance of their official duties.
E. 
The Mayor, by and with approval from the Board of Aldermen, may remove any member of the Park Board for misconduct or neglect of duty.
F. 
Absence of any member from two (2) consecutive regular monthly meetings shall be considered as a resignation of that position.
G. 
Vacancies occasioned by removal, resignation or otherwise, shall be reported to the Board of Aldermen, and shall be filled in like manner as original appointments, except that the term of office is restricted to the unexpired term of office.

A. 
Regular meetings shall be held the first Thursday of each month during the year.
B. 
Special meetings may be called by the President or upon the written request of at least two (2) members.
C. 
All regular meetings are to be held at City Hall.
D. 
The meetings shall convene at 7:00 P.M. unless otherwise agreed.
E. 
The first regular meeting in January shall be called the "organizational meeting." The purpose of this meeting shall be the election and installation of officers, the presentation of the annual financial statement, and other business that may need to come before such meeting.
F. 
A quorum shall constitute a majority of the members present at any regular or special meeting.
G. 
All meetings and records shall be open to the public pursuant to Section 610.011, RSMo., regarding the Open Meetings Law.
H. 
Meetings shall be conducted in accordance with the procedures prescribed in this Article and by the laws of the State of Missouri and decisions reached only after full consideration and debate on the issue in question.

The following shall be the order of business of the Park Board:
1. 
Call to order.
2. 
Roll call.
3. 
Approval of the minutes of the last regular meeting and of any special meetings held subsequently.
4. 
Approval of the prior month's financial report.
5. 
Petitions and communications.
6. 
Reports of committees.
7. 
Old business.
8. 
New business.
9. 
Motion to adjourn.

A. 
The officers of the Park Board shall consist of a President, Vice President, Secretary, and Treasurer. The officers shall be elected at the organizational meeting in January of each year and shall serve one (1) year and until his/her successor is elected.
B. 
President. The President shall preside at all meetings of the Park Board. The President shall represent the Park Board at public affairs and shall maintain the dignity and efficiency of the Park Board in all possible ways. The President shall be responsible for signing all checks written.
C. 
Vice President. The Vice President, in the absence of the President, shall perform all the duties of the President. The Vice President shall be charged with the responsibility of serving as the park's scheduling coordinator as described in Section 135.070(C).
D. 
Secretary. The Secretary shall keep a full and true permanent record of all meetings of the Board. This includes regular and special meetings and shall be custodian of all documents committed to his/her care. The Secretary shall be responsible for contacting all Park Board members and posting public notices of regular and special meetings within twenty-four (24) hours of such meetings.
E. 
Treasurer. The Treasurer shall keep record of all park income and expenses. He/she must keep the record up to date and available for public inspection. The Treasurer must prepare an annual financial statement at the end of each year and file a copy with City Hall. The Treasurer shall be responsible for cosigning all checks written.

A. 
All committees must report to the Park Board and must be accountable to the Park Board for all expenditures. All proceeds of events must be kept in the park's general fund account, including those designated for a future park improvement. The designated funds must have, in writing, a detailed plan and time table for the future use of fund.
B. 
Park Athletic Committee. This committee shall conduct the summer ball and soccer programs. This committee may also develop additional athletic programs. This committee shall be allowed to use the concession stand during the athletic events.
C. 
Scheduling Coordinator. The Vice President of the Park Board shall be responsible for coordinating the use of the park facilities. He/she shall schedule all events that take place on the park grounds which shall include, but not be limited to, pavilion rental, carnivals, sporting events, and fund-raising events. He/she shall be responsible for collecting the fees assessed by the Park Board for the use of the park facilities. He/she shall make available request forms which must be kept on file for reference to avoid scheduling conflicts.
D. 
Grounds/Facility Development Committee. This committee shall be responsible for making improvements to the park's facilities and grounds.
E. 
Grants/Fund-Raising Committee. This committee shall be responsible for researching and developing grants and fund-raising projects for the purpose of park improvements.
F. 
Festival/Community Development Committee. This committee shall be responsible for coordinating a Fourth of July Celebration and other community events to help promote a better sense of community.

A. 
The Park Board shall have exclusive control of the expenditures of all monies collected and deposited to the credit of the Park Fund. All monies received by the Park Board shall be deposited in a separate account to the credit of the Ellsinore Community Park Board and shall be kept separate and apart from all other monies and accounts of the City of Ellsinore. The President's and Treasurer's signature shall be required on all checks written.
B. 
The Park Board shall be charged specifically with, but not limited to, the duty to operate and maintain the American Legion Park by raising funds to pay the ongoing expenses such as trash, electric, and mowing along with as-needed expenses for minor repairs to park structures.
C. 
The Park Board may establish reservation fees for the use of park facilities.
D. 
The City of Ellsinore shall supply water/sewer service to the park at no charge.
E. 
The City of Ellsinore shall maintain the cost of dusk to dawn lights located on the park grounds.
F. 
The City of Ellsinore shall budget ten percent (10%) of the capital improvement revenue each year for capital improvement projects of the park.

If any provision of this Article, or the application thereof, to any person or circumstance is held invalid, that invalidity shall not affect other provisions or application of this Article which can be given effect without the invalid provision or application, and to this end the provisions of this Article are severable.

This Article shall be in full force and effect as of December 1, 2007, and shall serve as the bylaws for the Ellsinore Community Park Board.
