The legislative power of the Borough shall be exercised by the Council except as may be otherwise provided by the Charter or by general law.

The Governing Body shall consist of the Mayor and six (6) Council members elected at large in the Borough, all of them whom shall be elected and take office in the manner provided by law. The term of office of the Mayor and of the Council members shall commence on January 1 next following their elections.

Vacancies shall be filled by election for the remainder of the unexpired term at the next general election occurring not less than sixty (60) days after the occurrence of the vacancy. An election to fill a vacancy shall be upon direct nomination by petition in the manner provided by law for the filing of vacancies in municipal offices where candidates are nominated by direct petition for a general election. Council shall fill the vacancy temporarily by appointment to serve until the qualification of a person so elected. Any person appointed to fill a vacancy shall be a member of the same political party as the prior incumbent.

The Council shall meet for the organization during the first seven (7) days in January. Thereafter, the Council shall meet regularly at least once each month within the Borough at such times and places as provided by resolution. The Mayor shall when necessary call special meetings of the Council. In the case of his neglect or refusal, upon written request of any four (4) members of the Council, the Municipal Clerk shall call such meetings at such time and place in the Borough as they may designate, and in all cases of special meetings, twenty-four (24) hours notice, either in writing to the residence address of the member or by actually reaching the member by telephone, shall be given to all members of the Council. The notice for a special meeting shall state the purpose for which the meeting has been called and no other business shall be conducted.

Notices of all meetings of the Council shall be given as required by the Open Public Meetings Act, N.J.S.A. 10:4-6 et seq.

The Mayor shall participate and vote as other Council members. A majority of the whole number of Council shall constitute a quorum for the transaction of business but a smaller number may meet and adjourn from time to time. The Mayor shall preside over all meetings of the Council. The Council shall select from among its members a President of the Council who shall serve in place of the Mayor as presiding officer only in the event of his absence, disability or refusal to act.

The executive power of the Borough shall be exercised by the Mayor. It shall be his duty to see that all laws and ordinances in force and effect within the Borough are observed. The Mayor shall address the Council and report to the residents annually, and at other times as he may deem desirable, on the condition of the Borough and upon its problems of government.

a. 
The Mayor shall appoint, with the advice and consent of the Council, the Assessor, a Tax Collector, the Municipal Attorney, the Municipal Clerk, the Treasurer, the Judge of the Municipal Court, the Prosecutor, the Public Defender, the Municipal Engineer, the Municipal Auditor, and other officers where so provided by this Code. The Mayor shall also appoint each of the Standing Committees of Council. The Mayor may appoint any special ad-hoc committees as deemed necessary or advisable. The Mayor shall appoint all officers and employees whose appointment or election is not otherwise provided for by the Charter, general law or this Code. The Mayor shall also appoint an Acting Mayor where required by state law; this appointment power of the Mayor shall be exercised by the Mayor acting alone and without the advice and consent of the Council.

b. 
The Mayor shall appoint a member of the Municipal Council to the positions of Police Commissioner, Fire Department Commissioner, Commissioner of the Department of Public Works, Senior Citizen Commissioner and Board of Recreation Commissioner for a term of one (1) year and may revoke these appointments at any time without cause. The Commissioners shall perform those duties delegated and specifically defined by the Mayor pursuant to his executive power.

a. 
In the absence of a full-time Administrator, the Borough Council may adopt a resolution to authorize the Mayor to earn an additional salary when assigned administrative responsibilities due to said absence, should the Council deem the Mayor qualified to carry out such responsibilities, specifically those listed under § 2-7, Office of the Administrator, Subsection 2-7.5, Duties of the Administrator, of the Borough Code. When permissible, the Mayor, after being assigned such responsibilities, shall be responsible for the powers and duties of the Administrator, provided they do not conflict with the Office of the Mayor.
b. 
The assignment of administrative responsibilities shall only apply when the Mayor receives a resolution from the governing body authorizing and assigning the Mayor to act and to assume, when permissible by law, the responsibilities of the Administrator. This shall be considered a full-time position of the municipality and will include, but not be limited to, a full-time work week and availability during regular Borough business hours and at any time necessary to provide the efficient and effective operations of the municipality. There shall be no further compensation or overtime for additional hours or work-related activities

a. 
Creation. There is hereby created the Office of Secretary to the Mayor of the Borough of Woodland Park.
b. 
Appointment. The Secretary to the Mayor shall be appointed by the Mayor.
c. 
Duties. The Secretary to the Mayor shall have such duties as shall be assigned to him or her by the Mayor.
d. 
Term. The Secretary to the Mayor shall serve during the incumbency of the Mayor appointing him or her and may be dismissed or discharged summarily with or without cause by the Mayor for any reason deemed sufficient to him.
e. 
Compensation. The Secretary to the Mayor shall be compensated for his or her services by an annual salary as more particularly set forth in the yearly Salary Ordinance adopted by the Municipal Council or in any specific or specified Salary Ordinance adopted by the Municipal Council.
