There is hereby created and established for the city a Railroad
Historical Park board, which shall be composed of eleven (11) members,
and in addition thereto, as ex officio members, there is appointed
to the board the mayor of the city and the Union Pacific train master
in charge of operations in the city. Of the eleven (11) members of
the board, seven (7) shall be residents of the city. The members shall
be appointed by the city manager subject to confirmation by the city
council. All vacancies shall be filled in the same manner as provided
for the original appointments. Members of the board may be removed
by the city manager, with the consent of the city council, after public
hearing and for cause assigned in writing. The members of the board
shall serve without compensation. The members of the board shall serve
for a term of three (3) years, with the exception of the initial terms
of the initial appointments to the board by the mayor and confirmed
by the city council. Of the initial board, five (5) members shall
be appointed for a full term of three (3) years, three (3) members
shall be appointed for a term of two (2) years, and three (3) members
shall be appointed for a term of one (1) year. Thereafter, all reappointments
or appointments shall be for a term of three (3) years as the respective
appointment terms expire.

The Historical Park board shall elect a chairman and vice-chairman
and treasurer from its membership. The board shall have power to employ
such qualified persons as may be necessary for the proper conduct
and undertakings of the board and to pay for their services and such
other necessary expenses, provided that the cost of such services
and expenses shall not exceed the amount appropriated by the city
council for the use of the board.

The board shall have the power to make rules, regulations, and
bylaws for its own government, which shall conform as nearly as possible
with those governing the city council, and the same shall be subject
to approval by the city council. Such bylaws shall include, among
other items, provisions for:
(1) Regular
and special meetings open to the public;
(2) Records
of its proceedings, to be open for inspection by the public;
(3) Reporting
to the city council and the public from time to time and annually;
and
(4) The
holding of public hearings.

There shall be set up a special revenue fund, which shall be
an account regularly managed by the city. Contributions received in
support of the Railroad Historical Park shall be credited to such
special revenue fund and the Railroad Historical Park account. All
expenditures made through the city shall be recorded in connection
with such park account. All purchases for the park shall be made under
the rules, regulations, limitations, and authority for the city. All
accounting and auditing procedures shall be performed by the accountants
and auditors for the city.

The treasurer of the Railroad Historical Park board who is elected
by the board, subject to the approval of the city council, shall automatically,
by the position of his office, be an assistant city treasurer for
the city, and shall be authorized to make signature for expenditures
for the Railroad Historical Park, and his authority shall be limited
to that function. All expenditures shall be subject to the same rules,
regulations, and limitations as any other expenditure by the city.

The Railroad Historical Park board shall have the power, and
it shall be its duty, to make and recommend for adoption a master
plan for the Railroad Historical Park, as a whole, or in parts, containing
a plan for the future development and redevelopment of the park, and
to make recommendations to the city council for approval or disapproval
of its plats and layouts. The board shall perform such other duties
as may be prescribed by ordinance or state law.
