A hospital authority is hereby created under the provisions of the state Hospital Authority Act, to be comprised of the territory included within the boundaries of the city, and said hospital authority shall be a body politic and corporate under the name of Smithville Hospital Authority, which is hereby designated as the name by which said hospital authority shall be known.

(a) 
Membership.
The Smithville Hospital Authority shall be governed by a board of directors consisting of seven (7) members. Three (3) directors (Places 2, 4, and 6) shall be appointed by the city council, and the board of directors shall appoint four (4) members (Places 1, 3, 5 and 7). Each of said directors shall serve for a term of two (2) years. Vacancies shall be filled for the unexpired terms. Places 1, 3, 5 and 7 shall be appointed for terms ending in even-numbered years and Places 2, 4 and 6 shall be appointed for terms ending in odd-numbered years. All terms shall expire on February 3rd. Appointments shall be made not less than thirty (30) days prior to February 3rd in the year such respective term is scheduled to expire.
(b) 
Conflict of interest.
(1) 
An individual who directly or indirectly holds any ownership or investment interest in any health care facility within Bastrop County or the immediately surrounding counties, or otherwise competes with the Smithville Hospital Authority directly or in conjunction with any other person or entity, is not eligible to serve on the board of directors of the Smithville Hospital Authority and shall not be appointed as a director of the Smithville Hospital Authority.
(2) 
Any director of the Smithville Hospital Authority who acquires any ownership or investment interest in any health care facility within Bastrop County or the immediately surrounding counties, or otherwise competes with the Smithville Hospital Authority directly or in conjunction with any other person or entity, during that director’s term of office, shall be considered to have resigned his or her position as director.

The Smithville Hospital Authority is authorized to transact business and exercise its powers pursuant to the Hospital Authority Act of the state.
