The town council shall have the authority to create and establish for the town various advisory boards and commissions by resolution. Governing rules, membership, terms, and appointments for each such board shall be as set forth in the following sections. Such boards shall be composed of an odd number of members, with a minimum of 7 members, as set by resolution of the town council. A councilmember shall be appointed to serve as liaison for the advisory board or commission and shall attend each meeting of the board.

(a) 
The members of the board shall be appointed by the town council. One-half of the board shall be appointed for an initial term of one year and the other one-half of the board shall be appointed for the term of two years each. Successive terms shall be of a two-year duration, beginning June 1 of the calendar year and ending May 31. The board liaison, a member of the council, will be appointed by the town council for a six-month term. A member shall be resident citizens of the town.

Any board member desiring to serve on more than one board or commission shall be allowed with the permission of the town council as long as he/she does not hold an elected public office, and as long as such service does not conflict with state law.

If required, any vacancy shall be filled for the unexpired term in the same manner as provided for by the original appointment. Members of the board or commission may be removed by the town council in accordance with the grounds and procedures for removal set forth in Local Government Code, section 22.077 (or any successor statute), or for missing more than three consecutive meetings without excuse. The reason for removal will be assigned in writing. Members of the board shall serve without compensation.

The board shall annually select its own chairman, vice-chairman and secretary from its own members. Elections will be conducted each year by July following the appointment of all new members.

The board shall promulgate its own rules consistent with ordinances of the town and laws of the state. The board shall hold regular meetings as it deems necessary.

Unless otherwise specified by the town council in an ordinance establishing an advisory board or commission, a majority of appointed members shall constitute a quorum.

The board shall be an advisory board to the town council and shall present its recommendations, concerning matters brought before it for its consideration, but its findings and recommendations shall be in no wise binding upon the council. A representative shall be present at council meetings to report on decisions and recommendations made by the commission on any and all zoning cases and activities to the council.

The chairman of the board and representative members shall prepare a budget estimate and submit it to the city manager for presentation to the town council not later than July each year.
