For purposes of this division, the following definitions shall apply unless the context clearly indicates or requires a different meaning:
Board.
The public parks and playgrounds board.

It is hereby declared to be the policy of the city that matters relating to public parks, playgrounds, and related activities and programs may be originated by or submitted to the board for counsel and advice.

The board shall consist of seven voting members. Members shall be appointed by the council and shall serve for a term of three years, but so that the terms of not more than three thereof shall expire in any one year, the council shall appoint the initial board members to staggered terms. Members shall be chosen from among such persons concerned with and interested in the development of public parks and playgrounds and like public places in the city. Members shall be residents of or have their places of business in the county. The city parks and recreation director shall serve as an ex officio, nonvoting member of the board. In case of vacancy, the council shall appoint a successor to fill out the unexpired term.

(a) 
The board shall establish the time and place of meetings. Meetings shall comply as may be necessary with Texas Open Meetings Act. The board shall adopt bylaws, subject to approval of the council, for the conduct of its business consistent with the charter and this code.
(b) 
The board shall annually elect a chairman and vice-chairman.
(c) 
Four members of the board shall constitute a quorum.
(d) 
At least once each year the council shall meet in joint session with the board to review existing and changing policies, review board bylaws, and tour facilities and programs.

It shall be the function of the board to be advisory and it shall have the following duties and responsibilities pertaining to parks and recreational facilities or that may be referred to it:
(1) 
Recommend and advise the council, planning commission and other bodies, groups or officials on all matters referred to it.
(2) 
Act in the role of community catalyst in the formation and achievement of a comprehensive, community-wide parks and recreation system and program to serve the horticultural, environmental, historical, cultural, and leisure needs of all the city residents.
(3) 
Make and issue reports to the council respecting studies, research, examination, and other activities the board deems necessary or as may be required by the council.
(4) 
Recommend and advise the council and the city manager on an annual parks budget.
(5) 
Abide by and be held to the city employee code of ethics.
