The housing authority of the city created by resolution of the city council in 1943 is established by ordinance in accordance with Section 34201 et seq., of the Health and Safety Code.

A.
Establishment. There shall be a board of directors of the housing authority of the city consisting of the five members of the city council. All rights, powers, duties, privileges and immunities of the authority, except as otherwise expressly provided by local ordinance or state law, are vested in the board of directors.
B.
Officers. The chairperson of the board of directors shall be the mayor of the city. The vice chairperson shall be the vice mayor.
C.
Meetings. Meetings shall comply in all respects with Section 54950 et seq., of the Government Code, commonly known as the Ralph M. Brown Act. The board of directors shall hold an annual meeting any time between March 1st and June 30th to consider the budget. The chair or any three members of the board of directors may call a special meeting; provided, however, the only business transacted shall be limited to items and subjects set forth in the notice of special meeting and written notice shall be given 48 hours in advance of the special meeting to the following: each member of the board, local newspapers of general circulation, and anyone who has filed a written request for notice.
D.
Rules of Procedure. Rules of procedure shall be as provided for the conduct of business for the city council, except as specifically provided otherwise by the Housing Authorities Law of California (Health and Safety Code Section 34200 et seq.) or by resolution of the board of directors.
E.
Delegation of Authority. All powers of the board of directors are delegated to the housing authority commission except as reserved in this subsection. The following actions of the housing authority commission shall not be final until reviewed and approved by the board of directors:

Establishment. There shall be a housing authority commission of the housing authority of the city consisting of seven members to be called the housing authority commission. Five at-large members shall be the at large members of the housing commission and two members shall be residents of projects operated by the housing authority, one of whom shall be 62 years of age or older.
B.
Manner of Appointment. The initial appointments to the housing authority commission shall be those persons serving on the housing commission as that commission existed on the effective date hereof. Thereafter, members to the housing authority commission shall be appointed as provided in the adopted city council resolution establishing procedures for appointments to city boards and commissions.
D.
Terms. The members shall serve their terms consistent with the city council resolution concerning term limits for commission members; provided, however, that the project resident member(s) shall serve no more than two two-year terms.

A.
Except for the actions specifically reserved to the board of directors in Section 2.36.020(E) of this chapter, the housing authority commission shall be empowered to take any action as required by federal or state law to carry on the business of the housing authority.
B.
All powers in this section shall pertain to future housing projects governed by the housing authority, provided the board of directors and/or city council has approved such action.

A.
Action Memorandum. Within 10 calendar days from the date of any housing commission meeting, the director shall, if directed by the city council or the board of directors, provide each boardmember with an action memorandum identifying each formal action taken by the commission and the vote thereon.
B.
Who Can Appeal. Any interested person, including any tenant of the housing authority, any city councilmember, any member of the board of directors, any housing commissioner and the executive director, may appeal a decision of the housing commission.
C.
Time Limit. All decisions of the housing commission shall become final unless appealed within 15 calendar days from the date of commission action.
D.
Form of Appeal. Each appeal shall be submitted in writing to the executive director and shall state the name and address of the appellant. Each appeal shall specifically identify the commission decision being appealed and shall include an alternate decision proposed by the appellant. The appeal may include a statement of reasons in support of the appeal.
E.
Board of Directors' Review.
1.
Upon receipt of an appeal, and enough additional information for the board to adequately review the commission's decision, the chairman of the board of directors shall call a special meeting of the board of directors. Normally the special meeting shall be scheduled to coincide with a regularly scheduled city council meeting.
2.
The executive director shall assure that adequate notice is given to the press in accordance with Section 2.36.070(C) of this chapter.
3.
The executive director shall provide the appellant with notice of the time and place designated for the special meeting and a copy of public agenda materials relating to the appeal.

Persons appointed to the housing commission shall continue to serve as commissioners until:
A.
Expiration of the term;
B.
Voluntary resignation from the commission;
C.
The member is absent from one-third of the regular meetings as provided in Section 2.32.090 of this title.

The officers of the commission shall be a chairperson and a vice chairperson.
A.
Chairperson. The chairperson shall be liaison with the city council, press and individual commissioners. The chairperson shall preside at all meetings of the commission.
B.
Vice Chairperson. The vice chairperson shall perform the duties of the chairperson in the absence or incapacity of the chairperson, and in the case of the resignation or death of the chairperson, the vice chairperson shall perform such duties as are imposed on the chairperson until such time as the commission shall select a new chairperson.
C.
Additional Duties. The officers of the commission shall perform such other duties and functions as may be required by the board, the commission or the bylaws or rules and regulations of the authority.
D.
Election or Appointment. The chairperson and vice chairperson shall be elected by a majority vote at the annual meeting of the commission from among the commissioners of the authority, and shall hold office for one year or until their successors are elected and qualified.
E.
Vacancies. Should the offices of chairperson or vice chairperson become vacant, the commission shall elect a successor from its membership at the next regular meeting, and such election shall be for the unexpired terms of the office.

A.
Executive Director. The board of directors shall appoint an executive director. The executive director shall have general supervision over the administration of the housing authority's business and affairs, subject to the direction of the board, and shall be charged with the management of the housing projects of the housing authority. The executive director shall serve at the pleasure of the board.
B.
Secretary. The executive director shall serve as the executive secretary of the board. The executive secretary shall keep the records of the housing authority; act as secretary of the meetings of the board and the housing commission and record all votes, and shall keep the minutes and records of the housing authority for such purposes; shall keep in safe custody the seal of the housing authority and shall have power to affix such seal to all contracts and instruments authorized to be executed by the housing commission; with the chairperson of the housing commission, sign all contracts, deeds and other instruments.
C.
Treasurer. The executive director shall serve as the treasurer of the housing authority. The treasurer shall have the care and custody of all funds of the housing authority and shall deposit the same in the name of the housing authority in such bank or banks as the board may select. Procedures for issuance of checks and orders for the payment of money shall be established by resolution of the housing commission. The treasurer shall invest funds as directed; keep regular books of accounts showing receipts and expenditures and shall render to the housing authority, at each regular meeting (or more often when requested), an account of the transactions and also of the financial condition of the housing authority; be bonded for the faithful performance of duties as the board may determine.
D.
Other Personnel. The executive director may employ such personnel deemed necessary to exercise the powers, duties and actions as prescribed by the Housing Authority Law of California and all other laws of the state applicable thereto. The process for selection and compensation ranges of such personnel shall be determined by the housing commission.

All resolutions shall be in writing.

Four members present shall constitute a quorum for the transaction of business at any meeting of the housing authority commission. Action may be taken upon a majority of the quorum.
G.
The housing authority commission, with majority approval, may recommend that the board of directors adopt and/or amend the bylaws.
