A. 
There shall be a Parks, Recreation and Trees Advisory Commission (which may be referred to in this chapter as the "Commission") to consist of seven members. Unless otherwise required by law, in order for any action to be taken by the Commission, it must be approved by a majority vote of the quorum of the Commission in attendance at a Commission meeting. A quorum of the Commission shall consist of at least four of the seven members.
B. 
In addition to the seven voting members of the Commission, there shall be one non-voting member of the Commission. The nonvoting member shall not be counted toward any quorum of the Commission.

A. 
Each member of the Commission shall be appointed by the City Council and shall hold office in accordance with the requirements and procedures established by resolution of the City Council.
B. 
Each member of the Commission shall be a full-time resident and registered voter of the City; except that, for no more than two members, the City Council may appoint a member of the Commission who is a full-time resident and registered voter of the County of Napa.
C. 
At least three of the seven voting members of the Commission shall be a person who demonstrates experience in one of the following identified fields: urban planning, park planning, park operations, park maintenance, recreation programming, horticulture, or arboriculture.
D. 
The non-voting member of the Commission shall be a student at a high school in the City.

Unless otherwise designated by the City Manager, the Parks and Recreation Services Director shall be the principal city staff manager to the Commission, and the Parks and Recreation Services Director shall appoint a secretary to the Commission to comply with all procedural requirements.

The Commission shall, by resolution, establish the time and place for regular meetings.
The Commission shall conduct its meetings in accordance with procedures established by resolution of the City Council. The Commission may establish its own rules of procedure or by-laws consistent with City Council resolutions and ordinances.

The duties of the Commission shall be to:
A. 
Make recommendations to the City Council on matters referred to the Commission by the Council.
B. 
Make recommendations to the Parks and Recreation Services Director and City Council affecting the acquisition, development and maintenance of parks within the city.
C. 
Make recommendations to the Parks and Recreation Services Director and the City Council regarding matters of public recreation in the city.
D. 
Make recommendations to the Parks and Recreation Services Director and City Council regarding cultural activities of public interest in the city.
E. 
Make recommendations to the Parks and Recreation Services Director and City Council regarding matters affecting development of privately and publicly landscaped areas within the city.
F. 
Make recommendations to Parks and Recreation Services Director and the City Council on matters related to trees, tree preservation, and arboriculture, including the review of city tree ordinances, policies and programs.
G. 
To the extent that there are references in this code to the authority or responsibilities of the former Parks and Recreation Advisory Commission, or the former Tree Advisory Commission, the Parks, Recreation and Trees Advisory Commission ("Commission") is authorized to exercise that authority or responsibility. In particular, the Commission is authorized to take action as the decision-making body for specified actions set forth in this code, particularly related to appeals of decisions regarding planting and removal of city trees under chapter 12.44 and the consideration of permits for activities affecting significant trees and appeals of determinations regarding activities affecting protected trees pursuant to chapter 12.45.
