Unless otherwise specifically provided in this Code or by State law, all City boards, commissions and ex officio posts shall be created by the City Council.

A.
The Mayor and each City Councilmember shall appoint one member to each board and commission, created by the City Council, subject to ratification by a majority of the City Council, and in compliance with the City Council and Commissions Meeting Guidelines and Procedures. Appointments shall be made at the first regular City Council meeting in January following each regular election year.
B.
Neither the Mayor nor any City Councilmember may serve as a member on any board or commission of the City.
C.
Unless otherwise provided by ordinance or by resolution, or unless by the very nature of the situation the application of the provisions hereof may not be practicable or feasible, all members of any board and commission of the City shall be appointed for two-year terms commencing at the February meeting of the year of appointment, provided that interim vacancies shall be filled by appointment for the unexpired term of the member replaced. At the completion of any term, a board or commission member may be reappointed pursuant to the procedures set forth in this section.

A.
If vacancies in any board or commission occur other than by expiration of term, such vacancy shall be filled by appointment by the Mayor or Councilmember who had appointed the member whose office has been vacated subject to ratification by a majority of the City Council.
B.
In the event of a Mayor or City Councilmember vacancy which creates the need for a special election, board and commission members who had been appointed by the departed Mayor or City Councilmember shall remain in place until such time as appointments can be made by the Mayor or City Councilmember elected at the special election and ratified by a majority of the City Council. If no special election is required (Section 2.04.040 of the Municipal Code), the person appointed to fill the vacancy shall be entitled to replace any members of any boards or commissions appointed by the former Mayor or Councilmember subject to ratification by a majority of the City Council.
C.
Whenever a member of a permanent board or commission is appointed or elected to a permanent advisory or elective office of another governmental agency, the office held by the member shall be immediately and automatically rendered vacant if the two offices are incompatible. If the incompatibility of offices doctrine prevents the member from simultaneously holding more than one public office, the City Clerk shall thereafter immediately notify the City Council of the fact of this vacancy, and the vacancy may be filled in the manner provided by this section. No vacancy shall be created by reason of a board or commission member’s acceptance of a limited term or ad hoc advisory committee position for another governmental agency.
D.
Whenever an unscheduled vacancy occurs on any board, commission or committee for which the City Council has the appointing power, whether due to resignation, death, termination, or other causes, a special vacancy notice shall be posted in the office of the City Clerk, the library and in other places as directed by the City Council, not earlier than 20 days before, or not later than 20 days after the vacancy occurs. Final appointment to the board, commission or committee shall not be made by the City Council for at least 10 working days after the posting of the notice in the City Clerk’s office.

Unless otherwise provided by ordinance or resolution of the City Council, all members of City boards and commissions shall be initially, and during their incumbencies, bona fide residents and registered voters of the City. No member of any board or commission shall be a City employee, nor shall any person be a member of more than one board or commission at any one time.
B.
The criteria set forth in subsection A of this section shall not apply to any member of any board or commission appointed prior to the effective date of the ordinance codified in this section and each such member shall continue to be exempt from said criteria for the duration of his or her current term of office and each consecutive, successive term to which he or she is appointed.

A.
Any member of a board or commission of the City may be summarily removed from office at any time, with or without cause, by the official (Mayor or Councilmember) who appointed him or her with ratification by a majority vote of the City Council.
B.
Any member of any board or commission of the City may be summarily removed from office at any time, with or without cause, by an affirmative vote of at least four members of the City Council.
C.
A board or commission member may request advance permission from the City Clerk to be absent at one or more regular or special meetings due to extenuating circumstances, and/or may request the City Clerk to excuse an absence after the fact where such extenuating circumstances prevented the member from seeking advance permission to be absent. If such permission or excuse is granted by the City Clerk, the absence shall not be counted toward the limitations stated below on absences.
If a member fails to attend three consecutive regular meetings, or 25 percent of the duly scheduled meetings of the board or commission within any calendar year, his or her office shall thereupon become vacant and shall be filled as any other vacancy. The City Clerk shall:
1.
Send a warning letter via regular first class mail to a member when he or she has two absences; and
2.
Send a letter via regular first class mail to a member advising him or her that his or her office is vacated upon the failure of that member to attend either: (a) three consecutive regular meetings, or (b) 25 percent of the duly scheduled meetings of the board or commission within any calendar year, as provided in this section.
D.
If a member appointed after the effective date of the ordinance codified in this section fails to maintain his or her status as a bona fide resident and registered voter of the City, his or her office shall thereupon become vacant and shall be filled as any other vacancy.

Unless otherwise provided by law or by ordinance or resolution adopted after the effective date of this section, each board and commission of the City shall annually at its December meeting, choose one of its members as Chairperson, and one as Vice-Chairperson. Each Chairperson and Vice-Chairperson shall have authority and perform such duties as are commonly associated with their respective titles, or as may be specifically prescribed by law or by the bylaws or other rules of the board or commission. Vacancies in either such position occurring prior to the December meeting of appointment years (regular election years) may be filled as in the first instance, and a new Chairperson or Vice-Chairperson may be chosen at any time by a majority vote of all members of the board or commission.

All meetings of boards and commissions shall be open to the public and shall be held at the Carl May Community Center or at such other location as may be designated in advance by that board or commission.

A majority of the members of any board or commission shall constitute a quorum for the transaction of business, but less than a quorum may adjourn any meeting from time to time.

Unless otherwise required by law or this Code, board and commission members shall receive no compensation.

A.
Unless otherwise specifically provided in this Code or by State law, all City committees shall be created by the City Council.
B.
For purposes of this chapter, a City “committee” means a body of persons selected by the City Council to consider, investigate, advise or report on some matter of concern to the City Council, the voting members of which shall include at least one City Councilmember.
C.
At the sole discretion of the City Council, committee members need not be residents of the City.
D.
Any member of a committee may be removed from office at any time, with or without cause, by a majority vote of the City Council.
