A majority of the board shall constitute a quorum for the transaction
of business; however, no ordinance, motion or resolution shall be
passed to become effective without the affirmative vote of a majority
of the members of the board, but a majority of those present at the
time and place of any stated or special meeting, although less than
a quorum, may adjourn the same from time to time, or from day to day,
without further notice, until a quorum shall attend, and when a quorum
shall attend, any business may be transacted which might have been
transacted at the meeting had the same been held on the day on which
the same was originally appointed or called.

Each director shall receive as compensation two hundred dollars
per day for each day's attendance at meetings of the board or for
each day's service rendered as a member of the board by request of
the board. No director may receive compensation for more than 10 days
in any calendar month.

Each director shall be reimbursed for all reasonable board authorized
or requested expenses actually incurred in the performance of his
or her duties.
