A. 
Each board, commission, or committee created by the City Council shall be governed by the provisions of this chapter unless otherwise provided by ordinance. For purposes of this chapter, the terms "board," "commission" and "committee" have identical meanings.
B. 
Committees formed for a special purpose, such as election boards or site selection committees, shall not be subject to the provisions of this chapter relating to term of service or termination. Special purpose terms of appointment shall expire upon completion of the special purpose, as established by resolution or ordinance.

A board may be created by ordinance or by resolution. Unless established by ordinance, a board shall have advisory functions only, and shall not otherwise act, individually or collectively, as an agent of the City.

A. 
Members and three alternate members of boards, commissions, or committees shall be appointed by the Mayor and confirmed by the Council. A member may be removed by the Council before the expiration of the member's term in accordance with the provisions of this section.
B. 
A vacancy occurs on the board when:
1. 
A board member is removed for good cause by the Mayor with the approval of a two-thirds majority of the Council;
2. 
A confirmed appointee fails to qualify and assume the duties of the office within 30 days of confirmation;
3. 
A member departs the City intending to remain outside the City for 90 consecutive days or more or an indefinite amount of time;
4. 
A member submits a resignation accepted by the Mayor;
5. 
A member, due to incapacity or absence from the City, cannot attend board meetings for 90 days or more;
6. 
The member is absent from three consecutive regular board meetings without the board excusing any such absence for good cause.
C. 
In the event that a vacancy is created on a board, the Mayor shall promptly act to fill the vacancy for the remainder of the term. Reasonable public notice of the vacancy shall be given prior to appointment of a new board member, but failure to provide notice shall not invalidate the appointment.
D. 
Alternate members may participate in discussion, debate, and voting at a meeting in the event of the absence of the member they serve as alternate members for. Alternate members may substitute any other absent member in rotation.

In addition to any other qualifications which may be required a member shall remain a resident of the City while serving unless otherwise established by Council by ordinance or resolution.

A. 
The term of any member of a board is one year unless a different term is established by ordinance or resolution.
B. 
Except as provided in HMC § 7.05.030, the member of a board serves until a successor has been appointed and taken the seat to which appointed.

A member shall be eligible for compensation; provided, that the commission is established by codified ordinance, which sets forth the amount of compensation a member is entitled to receive.

A majority of the number of authorized members of a board shall be a quorum for the transaction of business.

A. 
Meetings of a board shall be held regularly at a designated time and place, or as otherwise provided by resolution or ordinance.
B. 
All meetings except for executive sessions are open to the public and, with the exception of work sessions, shall be electronically recorded.
C. 
Executive sessions shall follow similar procedures to that of the council in HMC § 2.04.200.
D. 
In accordance with AS 44.62.310, reasonable public notice shall be given setting out the date, time and place and agenda for all board meetings, using a combination of print and electronic media. The notice shall be posted at City Hall. The board shall provide notice in a consistent fashion for all its meetings.
E. 
The minutes are recorded for permanent retention, except for executive sessions closed to the public and work sessions which are informal.
F. 
All meetings shall be conducted in accordance with Robert's Rules of Order, Newly Revised.

A. 
Each board shall have a chair and a vice chair, who shall be elected by and from the board for a term of one year, unless established by ordinance or resolution. Election of officers shall be the first order of business at any time that an officer's seat is not filled.
B. 
The duties of the chair shall be to preside at all meetings and to perform other duties as may be directed. The chair shall be responsible for recording members present and absent at each meeting and recording all actions taken by the board at any meeting.
