There is hereby established the Cedar Grove Cable Television Committee. The membership of the Committee shall consist of seven members: one member of the governing body; one member appointed by the Board of Education; and five residents of the Township of Cedar Grove appointed by the governing body.
The appointment and terms of the members of the Committee shall be as follows:
A. 
The one representative of the governing body shall be appointed by and serve at the pleasure of the Township Council.
B. 
The one representative appointed by the Board of Education shall serve at the pleasure of the Board of Education.
C. 
The balance of the Committee shall be appointed by the Township Council and shall serve for a period of three years, except that the respective terms of office of the originally appointed members shall be as follows:

(1) 
Two members shall serve for terms of three years.
(2) 
Two members shall serve for terms of two years.
(3) 
One member shall serve for a term of one year.
D. 
The term of each member, except for the initial term, shall begin on the first day of January, and each member shall continue in office until his or her successor shall be appointed.
In the event of the resignation of any member of the Committee or in the event of death or inability to serve or in the event of the member's absence from 50% or more of the regularly scheduled meetings of the Committee in any twelve-month period, in which latter event removal shall automatically occur, the Township Council shall fill said vacancy for the remainder of the unexpired term.
A. 
The Cable Television Committee shall elect a Chairman, Vice Chairman and Secretary at its organizational meeting in January, which officers shall serve for terms of one year and shall remain in office until their successors are appointed.
B. 
The Secretary shall keep minutes of all the meetings of the Committee, which minutes and copies of official correspondence of the Committee shall be kept on file in the office of the Township Clerk.
The Cable Television Committee shall hold regular monthly meetings at the same time and day of each month in the Township Municipal Building as set in its organizational meeting, which meeting shall be open to the public unless closed to the public by the Committee pursuant to an exception authorized under the Open Public Meetings Act.[1] Special meetings may be called by the Chairman on three days' notice to each member of the Committee. The Committee may make and amend rules and regulations concerning the conduct of its meetings.

The Cable Television Committee shall have the following powers and duties:
A. 
To monitor the performance of the cable franchisee and to make report and/or recommendation to the Township Council with reference to the franchise and any renewal.
B. 
To operate a local access channel within the Township of Cedar Grove, subject to the establishment of rules and regulations by the Committee which are to be approved by the Township Council by resolution, which resolution may be modified from time to time. Such rules and regulations shall include but not be limited to access to the equipment and facility; procedures and criteria for programs and broadcasts; training and use of volunteers in connection with the operation of the local cable channel; access by citizens; procedures for posting of bulletins on the scribe; and other policies and procedures necessary to operate the channel.
C. 
To recommend to the governing body a method of training of volunteers, students and Committee members who may then become authorized to operate and use the cable equipment. The training program is to be approved by the governing body by resolution, which may be amended from time to time, and implemented by the Committee.
D. 
To maintain an inventory, in the office of the Township Clerk, of the equipment owned by the township and a separate list of the equipment owned by others.
E. 
Annually, to submit a proposed budget to the Township Manager, and purchase of equipment and supplies shall be subject to review and approval by the Township Manager.
F. 
Annually, to submit to the Township Manager an annual report of the programs and activities of the Committee undertaken during the prior year.
