The Village Board shall consist of the Village President and six Trustees, who shall be elected for three-year terms.[2]

(1) 
Regular meetings. Regular meetings of the Village Board shall be held on the first and third Tuesdays of each calendar month, at such hour as the Board shall designate. Any regular meeting falling on a legal holiday shall be held on the next following secular day, at the same hour and place. All meetings of the Board, including special and adjourned meetings, shall be held in the Village Hall.
(2) 
Special meetings. Special meetings of the Village Board may be called by any two Trustees in writing filed with the Clerk-Treasurer at least 48 hours prior to the time specified for such meeting. The Clerk-Treasurer shall immediately notify each Trustee of the time and purpose of such meeting by causing a written notice thereof to be delivered to each Trustee personally, if he can be found, or, if he cannot be found, then by leaving a copy of such notice at the home of such Trustee in the presence of an adult member of the family of the Trustee. If the period between the time the meeting is called and the time fixed for such meeting precludes the practicability of giving 48 hours' notice, the longest possible notice of such meeting shall be given each member by the Clerk-Treasurer, and the notice shall be signed by at least five members of the Board. The Clerk-Treasurer shall cause an affidavit showing service of such notice as herein provided to be filed in his office prior to the time fixed for such special meeting. Special meetings may be held without such notice when all members of the Village Board are present in person or consent in writing to the holding of such meeting, such written consent to be filed with the Clerk-Treasurer prior to the beginning of the meeting. Any special meeting attended by all the Trustees shall be a regular meeting for the transaction of any business that may come before such meeting. Special meetings shall comply with the notice requirements of the Wisconsin Open Meeting Law.[1]

(3) 
Adjournment. The Board may, by a majority vote of those present, but not fewer than three affirmative votes, adjourn from time to time to a specific date and hour.
(1) 
Designated. The Village President shall preside. In the absence of the President, the Clerk-Treasurer shall call the meeting to order and the Trustees present shall elect one of their number temporary chairperson. If the President appears while the meeting is in session, the temporary chairperson shall vacate the chair.
(2) 
Duties. The presiding officer shall preserve order and decorum, decide all questions of order and conduct the proceedings of the meeting in accordance with the parliamentary rules contained in Robert's Rules of Order, Newly Revised, unless otherwise provided by statute or by these rules.
(3) 
Appeals from decisions. Any member may appeal from a decision of the presiding officer. An appeal shall be sustained by a two-thirds vote of the members, excluding the presiding officer.
(1) 
Roll call; procedure when quorum not in attendance. As soon as the Board is called to order, the Clerk-Treasurer shall proceed to call the names of the members in alphabetical order, noting who is present and who is absent, and record the same in the proceedings of the Board. If there is not a quorum present, that fact shall be entered on the journal and the Board may adjourn, or the President or, in his absence, the Clerk-Treasurer may issue a process to any constable or policeman commanding him to summon the absentees when requested by three or more members. Any member may leave the meeting with special permission from four members of the Board.
(2) 
Quorum. A majority of the members of the Village Board shall constitute a quorum. The President shall be counted in computing a quorum. A majority vote of all members of the Village Board in favor of any proposed ordinance, resolution, or appointment shall be necessary for passage or approval, unless a larger number is required by statute. Except as otherwise provided, a majority vote of those present shall prevail in all other cases.
(3) 
Attendance by audio or video conference. Audio or video conference appearance at a Village Board meeting by a member of the Village Board is permitted, subject to the requirements of this subsection. Such member must notify the Village Manager sufficiently prior to the meeting to allow for necessary setup. The Village Manager shall determine on a case-by-case basis whether sufficient time is available for setup, but in every case notice must be provided to the Village Manager at least two hours prior to the meeting. When a member participates by audio or video conferencing devices, the devices shall be placed in the meeting room in a way that allows the member not physically present to hear and be heard by all those who are physically present, including all individuals of the public in attendance. A member participating by audio or video conference shall not be the presiding officer for the meeting, shall not be counted in the quorum, and shall not vote. This privilege extends to closed sessions, subject to the same limitations as apply for open sessions. There is no limit on the number of times per year a member may appear by audio or video conference; however, such appearance should only be used sparingly, due to exceptional circumstances.

The deliberations of the Village Board while in session shall be governed by the manual of parliamentary practice commonly known as "Robert's Rules of Order," except when otherwise limited or modified by these rules.

The business of the Board shall be conducted in the following order:
(1) 
Call to order.
(2) 
Pledge of allegiance.
(3) 
Roll call.
(4) 
Approval of minutes.
(5) 
Public hearings.
(6) 
Communications.
(7) 
Citizens' comments. Persons wishing to address the Board are asked to state their name and address for the record and limit their comments to only one time and limit comments to three minutes, or five minutes if representing a group of persons. Citizens' comments shall be limited to a period not to exceed 30 minutes.

Standing committee reports.
(9) 
Special committee reports.
(10) 
Old business.
(11) 
New business.
(12) 
Village officer reports.
(13) 
Citizens' comments. Persons wishing to address the Board are asked to state their name and address for the record and limit their comments to three minutes, or five minutes if representing a group of persons. Citizens' comments shall be limited to a period not to exceed 15 minutes.
(14) 
Adjournment.
In the absence of the Clerk-Treasurer, the Deputy Clerk shall act as Clerk Pro Tem.
The deliberations of the Village Board shall be conducted in the following manner:
(1) 
When a member is about to speak, he shall address himself to the President, and the President shall recognize the member entitled to speak. When two or more members simultaneously seek recognition, the presiding officer shall name the member who is to speak first. A member shall confine his remarks to the question under discussion.
(2) 
Except as provided in § 2.06, no person other than a member shall address the Board, except by vote of a majority of the members present.

(3) 
Every motion or proposition submitted to the Village Board for consideration must be reduced to writing if the President or any member so requires. Every resolution or ordinance submitted to the Village Board must be in writing. Every motion or proposition submitted to the Village President and/or Village Manager as an action or discussion item by two members of the Village Board at least five days prior to the meeting date shall be included on the agenda for the next scheduled Village Board meeting as requested. The Village Board agenda shall be prepared by the Village Manager or the Village Manager's designee, and publically noticed pursuant to § 19.84, Wis. Stats.

(4) 
No motion shall be discussed or acted upon until it has been seconded unless the rules permit one Trustee to initiate action. No motion shall be withdrawn without the consent of the person making the same and the person seconding it.
(5) 
When a motion is made and seconded it shall be deemed to be in the possession of the Village Board and shall be stated by the President or, if in writing, read by the Clerk-Treasurer previous to debate. Such motion may be withdrawn at any time before a vote has been had thereon, with the consent of the Village Board.
(6) 
When a question is under discussion, no action shall be in order except the following motions, which shall have precedence in the order listed:
(a) 
To adjourn.
(b) 
To lay on the table.
(c) 
To move the previous question.
(d) 
To postpone to a certain day.
(e) 
To refer to a committee.
(f) 
To amend.
(g) 
To postpone indefinitely.
(7) 
All questions shall be put in this form: "The question is on the adoption of the motion...Upon the roll call as many as are in favor say 'Aye,' contrary, 'No.'"
(8) 
Any member desiring to terminate debate may move the previous question, in which event the presiding officer shall announce the question as "Shall the main question now be put?" If 2/3 of all the members present vote in the affirmative, the main question shall be taken without further debate, its effect being to put an end to all debate and bring the Board to a direct vote, first upon any pending amendments and then upon the main question.

(9) 
Any Trustee may demand an aye and nay vote on any matter, and such vote shall be entered in the proceedings. Every member shall vote when a question is put unless the Board by a majority vote of those present excuses him for special cause. A majority vote of all members of the Board in favor of any proposed ordinance, resolution or appointment shall be necessary for passage or approval unless a larger number is required by statute. Except as otherwise provided by these rules, a majority vote of those present shall prevail in other cases.

(11) 
A motion to adjourn shall always be in order, and a motion to adjourn or to lay on the table and a call for the previous question shall be decided without debate.
(12) 
The President shall vote as a member of the Board.
(13) 
No member of the Board shall vote upon any proposed ordinance, order, resolution, or proposition in which he may be personally interested other than as a citizen of the Village.
(14) 
All questions shall be decided by roll call of members. A Board member may not change his vote on any question after the result has been announced.

Editor’s Note: Former Subsection (15), regarding ordinances and resolutions appropriating money or creating any charge against any funds of the Village, was repealed 10-4-2016 by Ord. No. 885.
Any member voting with the majority may move for a reconsideration of the vote on any question immediately after the vote is had or at the next succeeding meeting. A motion to reconsider, being put and lost, shall not be renewed.
A call of the Board may be requested at any time by two or more members, and absent members shall be sent for, but a call shall not be made after voting has commenced. When a call of the Board has been requested and ordered, the door shall be closed until the report of the policeman has been received and acted upon or until further proceedings under the call are dispensed with by a majority of the entire Board.
Any member of the Board shall have the right to protest against any ordinance of the Board which he may think injurious to the public or to any individual and have his reasons for his protests entered upon the records.
Whenever any disturbance or disorderly conduct occurs in any meeting of the Board, the presiding officer may cause the room to be cleared of all persons guilty of such disorderly conduct except the Trustees. If any Trustee is guilty of disorderly conduct, the presiding officer may order the police to take him into custody for the time being or until the meeting adjourns. Such member may appeal from such order to the Board as in other cases. Conviction of violation of this section shall be cause for removal from office under § 17.13(2) and (3), Wis. Stats.
All demands or accounts shall be acted upon at the time of presentation unless one or more members demand a reference.

(1) 
Created. The standing committees shall be:
(a) 
Committee on Finance (including licenses).
(b) 
Committee on Public Works, Streets, Roads and Public Utilities.
(c) 
Committee on Public Welfare and Safety.
(d) 
Committee of the Whole. See § 2.15.
(2) 
Composition of committees. Each committee shall consist of the members of the Village Board. The Chairperson of the committee shall be designated by the Village President and confirmed by the Village Board, except for the Committee of the Whole, for which the Chair shall be as described in § 2.15.

(4) 
Committee meetings. Regular meetings of all standing committees and the Committee of the Whole shall be held on the first and third Tuesdays of each calendar month, at such hour as the Board shall designate. Any regular meeting falling on a legal holiday shall be held on the next following secular day, at the same hour and place. Four members of the Village Board shall constitute a quorum. Meetings of the committees shall be subject to the Rules of Procedure contained in this chapter, to the extent applicable. Meetings of the Committee of the Whole shall be as described in § 2.15.
(1) 
The members of the Village Board shall constitute a Committee of the Whole. Meetings of the Committee shall be held in the Village Hall at such times as the Village Board shall direct.
(2) 
The Village President shall be the Chairperson of the Committee of the Whole.
(3) 
Four members of the Village Board shall constitute a quorum.
(4) 
Meetings of the Committee of the Whole shall be subject to the rules of procedure contained in this chapter, to the extent applicable.
(5) 
Committee and commission appointments made by the President requiring Board approval shall be submitted to the Committee of the Whole prior to the approval by the Village Board.
(1) 
Publication. All general ordinances of the Village and all regulations imposing a penalty shall be published in the official newspaper of the Village once and shall be immediately recorded, with the affidavit of publication, by the Village Clerk-Treasurer in a book kept for that purpose. A printed copy of such ordinance or resolution in any book, pamphlet or newspaper and published or purporting to be published therein by direction of the Village Board shall be prima facie proof of due passage, publication and recording thereof.
(2) 
Effective date. Unless otherwise provided, all ordinances shall take effect and be in force from and after passage and publication, and published copies thereof shall have appended the date of first publication.
These rules of procedure may be amended at any meeting of the Village Board in which 3/4 of the members of the Village Board concur. Such amendment shall be proposed and adopted in accordance with the current edition of Robert's Rules of Order, Newly Revised.
These rules or any part thereof may be temporarily suspended in connection with any matter under consideration by a recorded vote of 2/3 of the members present.
Charges against any Village officer shall be referred in writing and verified by affidavit and, having been read, shall be laid on the table or referred to a committee for investigation without debate.
