The President and Secretary of Council are authorized and directed to execute on behalf of the Borough articles of incorporation for the Authority, in substantially the following form:
Articles of Incorporation
To the Secretary of the Commonwealth, Commonwealth of Pennsylvania
In compliance with the requirements of the Act of May 2, 1945, P.L. 382, as amended, known as the "Municipality Authorities Act of 1945," the Borough of Quakertown, Bucks County, Pennsylvania, desiring to incorporate an Authority thereunder, does hereby certify:
1. 
The name of the Authority is Quakertown Hospital Authority [changed to "Quakertown General Authority" by Ord. 912]
2. 
The Authority is formed under the provisions of the Act of May 2, 1945, P.L. 382, as amended.
3. 
No other Authority organized under the Act of May 2, 1945, P.L. 382, as amended, or under the Act of June 28, 1935, P.L. 463, as amended, is in existence in or for the incorporating municipality.
4. 
The name of the incorporating municipality is Borough of Quakertown, Bucks County, Pennsylvania.
5. 
The names and addresses of its municipal authorities are as follows: [See Ord. 837 for municipal authorities]
6. 
The names, addresses and terms of office of the first members of the Board of the Authority to be formed hereby are as follows: [See Ord. 837 for original officers of Authority]

The following named persons are appointed as the first members of the Board of the Authority, whose terms of office shall commence on the date of appointment and shall be computed from January 1 next succeeding the date of incorporation: [See Ord. 837 for names and addresses of the original Board members]

The Quakertown General Authority shall be for the purpose of, and shall be authorized to undertake any project involving the acquisition, holding, constructing, improving, maintaining and operating, owning, leasing, either in the capacity of lessor or lessee, of projects of the kind and character authorized by the Municipality Authorities Act of 1945 (Act of May 2, 1945, P.L. 382, as amended from time to time) except that the Authority shall not, without the prior written approval of the Quakertown Borough Council, be authorized to undertake any project involving (1) the operation by the Authority (prior to any event of default) of facilities other than hospitals or health care related facilities, or (2) the exercise by the Authority of the power of eminent domain.

It is the desire of Council to organize an industrial and commercial development authority in Bucks County, under the Industrial and Commercial Development Authority Law.

The proposed Articles of Incorporation are hereby set forth in full as follows:
1. 
The Name of the Authority is "The Quakertown Area Industrial and Commercial Development Authority."
2. 
This Authority is formed under the authority of the "Industrial and Commercial Development Authority Law," the Act of Assembly of August 27, 1967, P.L. 251, as amended.
3. 
The incorporating municipality is the Borough of Quakertown of the County of Bucks. The names and addresses of the members of the governmental body of Quakertown Borough are as follows: [See Res. 28-80 for the names of the official endorsers.]
4. 
The names, addresses and terms of office of the first members of the Board of Directors rectors of this Authority are as follows: [See Res. 28-80 for the names of the original Board members.]
5. 
The term of existence of the Authority shall be 50 years.
