The annual meeting of the Authority shall be held on the same day in April as the regular meeting, at 4:00 p.m., at the central office of the Authority, 679 Social Street, Woonsocket, Rhode Island.

The regular meetings of the Authority shall be held on the third Thursday of each month at 4:30 p.m. at such locations as may be agreed upon by the Authority Commissioners.

A special meeting of the Commissioners shall be called by the Executive Director at the written request of the Chairman or a majority of the Commissioners for the purpose of transacting any business designated in the call. The call for a special meeting shall be delivered or mailed to each member of the Authority at least two days prior to the date of such special meeting. No business shall be considered other than as designated in the call, but if all of the members of the Authority are present at a special meeting, any and all business may be transacted at such special meeting.

A. 

The Board of Commissioners shall consist of seven members, two of whom shall be residents of public housing facilities and/or recipients of the Authority's Section 8 tenant-based program in the City of Woonsocket. The Mayor shall make the appointments from a list of interested residents of the public housing facilities and/or recipients of the Authority's Section 8 tenant-based program in the City of Woonsocket as submitted by the Executive Director. The method of selection of the residents to the list shall be determined by the Mayor. If the Resident Commissioner no longer lives in public housing and/or is no longer a recipient of the Authority's Section 8 tenant-based program in the City of Woonsocket, his or her office shall be deemed vacant.

B. 

Four Commissioners shall constitute a quorum for the purpose of conducting its business and exercising its powers for all other purposes, but a smaller number may adjourn from time to time until a quorum is obtained. When a quorum is in attendance, action may be taken by the Authority upon a vote of a majority of the Commissioners present.

At the regular meetings of the Authority, the following shall be the order of business:

Reading and approval of the minutes of the previous meeting. (Tapes of meetings will be discarded following approval of the minutes at the next meeting.)

B. 

All resolutions shall be in writing and shall be copied in a journal of the proceedings of the Authority.

C. 

Robert's Rules of Order shall control where not otherwise specifically provided in these bylaws.

D. 

Good and welfare for the audience is limited to five minutes per person.

Good and welfare for Commissioners shall be limited to five minutes per Board member.

The voting on all questions, other than those of a routine nature, coming before the Authority shall be by roll call, and the "ayes" and "nays" shall be entered upon the minutes of such meeting.
