The Supervisors of the Township of Warminster, County of Bucks
and Commonwealth of Pennsylvania, hereby signify their intention to
organize a municipal authority under the provisions of the Municipality
Authorities Act of 1945, as amended.

The Supervisors of the Township of Warminster are hereby authorized
and directed to execute, on behalf of the Township of Warminster,
Articles of Incorporation for such an Authority in substantially the
following form:

COMMONWEALTH OF PENNSYLVANIA:

In compliance with the requirements of the Act of May 2, 1945,
P.L. 382, known as the "Municipality Authorities Act of 1945," as
amended, the Supervisors of the Township of Warminster, Bucks County,
Pennsylvania, desiring to incorporate an Authority thereunder, do
hereby certify:

The name of the Authority is "Warminster Township Municipal
Authority."

2.
|
The Authority is formed under the provisions of the "Municipality
Authorities Act of 1945," as amended.

3.
|
No other authority organized under the "Municipality Authorities
Act of 1945," as amended, or under the Act of June 28, 1935, P.L.
463, as amended, is in existence in and for the incorporating municipality,
the Township of Warminster. The school district of the Township of
Warminster has joined with the school districts of the Township of
Upper Southampton and the Borough of Ivyland in forming what is known
as the "Centennial Joint School Board Authority (Bucks County)."

The name of the incorporating municipality is the Township of
Warminster, Bucks County, Pennsylvania.

The names and addresses in Bucks County, Pennsylvania, of its
municipal authorities are as follows: (Here followed the names and

The names, addresses and terms of office of the first members
of the Board of the Municipal Authority to be formed hereby are as

The ordinance authorizing the creation of the Authority, certified
from the records of the Supervisors of the Township of Warminster,
together with advertisement of notice of filing these Articles of
Incorporation, are each submitted herewith.

The Articles of Incorporation of the Authority shall be amended
to include stormwater planning, management and implementation as part
of its duties and responsibilities under the provisions of the Act
of May 2, 1945, P.L. 382, known as the Municipality Authorities Act
of 1945, as amended, pursuant to the language of the proposed amendment, as
fully set forth as follows:
"RESOLVED, that the Articles of Incorporation of the Warminster
Township Municipal Authority be amended to include the duties of stormwater
planning, management and implementation."

1. The proper officers of the Township of Warminster are hereby directed
to cause a notice of the proposed filing of the above Articles of
Incorporation to be published once in the Doylestown Daily Intelligence
and once in the Bucks County Law Report, as required by the Municipality
Authorities Act of 1945, as amended.
2. The proper officers of the Township of Warminster are directed to
file the above Articles of Incorporation, together with the necessary
proofs of publication, with the Secretary of the commonwealth and
to do all other acts and things necessary or appropriate to effect
the incorporation of the Warminster Township Municipal Authority.
3. The initial project which shall be undertaken by the Authority is
to acquire, hold, construct, maintain, operate, own or lease, either
in the capacity of lessor or lessee, waterworks, water supply works
and water distribution systems for the purpose of supplying water
to the residents of said Township of Warminster.
4. The following named persons be and they hereby are appointed as the
first members of the Board of Authority, whose terms of office shall
commence on the date of appointment and shall be computed from January
1, 1954: (Here followed the original members of the Board and their

5. The Warminster Township Municipal Authority is further authorized
to perform stormwater planning, management and implementation for
the Township of Warminster.

For the purposes of constructing, extending, installing, maintaining,
safeguarding, or repairing its water and sewer facilities, and for
stormwater planning, management and implementation, Warminster Township
Municipal Authority is authorized to enter in, under and upon any
and all streets or other ways within this Township now or hereafter
in public use; subject, however, to the following conditions:
A. That Warminster Township Municipal Authority shall comply with such
reasonable rules and regulations as the Board of Supervisors may from
time to time prescribe and shall cause as little inconvenience to
the public in the use of such streets and ways as may be reasonably
possible.
B. That upon completion of any work in, under and upon such streets
and ways, Warminster Township Municipal Authority shall restore such
streets and ways pursuant to the specifications of the Township Supervisors
as directed by the Township Engineer or his authorized agent.
C. That Warminster Township Municipal Authority shall be responsible
for and indemnify the Township and its Board of Supervisors against
all loss and expense by reason of injury to persons or damage to property
resulting from the operations of Warminster Township Municipal Authority
or the maintenance of its facilities in, under or upon such streets
and ways and, upon request of the Board of Supervisors, shall obtain
policies of insurance, in reasonable amounts, covering such risks.
