A Conservation Commission is hereby established for the City
in accordance with the provisions of General Laws, Chapter 40, Section
8C.

(a) The Conservation Commission shall consist of seven permanent members,
residents of the City, to be appointed by the Mayor, subject to confirmation
by the City Council for terms of three years each and until their
respective successors are appointed and confirmed.
(b) In addition to the seven permanent members, there shall be five associate
members, without voting powers, as shall be deemed expedient for carrying
out the aims and purposes of the conservation commission.
(c) Each of the seven permanent members shall be entitled to a stipend,
in an amount established by ordinance, for each meeting of the Waltham
Conservation Commission or hearing conducted by the Waltham Conservation
Commission in which said permanent member actually participates as
such a member. A permanent member shall be eligible for only one such
stipend per day, regardless of the number of meetings and/or hearings
conducted on such a day, and shall receive no other compensation for
serving as a member. For the purpose of this section a site view,
site visit or such other activity shall not be considered a meeting
or hearing.

The members of the Conservation Commission shall organize annually
by choosing of one of the permanent members to serve as Chairman and,
before the first Monday in every March.
The Conservation Commission shall function for the purposes
and with all of the rights and duties provided in General Laws, Chapter
40, Section 8C, as amended.

(a) Name of fund; custodian, how invested. There is hereby established
a conservation trust fund to receive gifts, bequests and devises in
the name of the City, subject to the approval of the City Council,
pursuant to Massachusetts General Laws, Chapter 40, Section 8c, and
shall be kept by the City Treasurer invested in bonds or notes of
the City or in securities, except personal securities in which funds
of saving banks may by law be invested.
(b) Board of Trustees, membership; appointment; terms; meetings.
(1)
There is hereby established the Board of Trustees of the Conservation
Trust Fund.
(2)
The Board of Trustees of the Conservation Trust Fund shall consist
of the seven permanent members of the Conservation Commission.
(3)
The members of the Board of Trustees shall meet on the first
Monday in March annually, or as soon thereafter as convenient, and
organize by the choice of a Chairman, and shall keep a record of their
proceedings.

(c) Separate accounts; collection and disbursement of income. It shall
be the duty of the City Treasurer to keep a separate account of the
Conservation Trust Fund and the income therefrom. He shall pass to
the credit of such account the interest of such bonds and notes as
the same becomes due, without the necessity of any draft or order
from any officer of the City, and shall disburse the same upon order
of the City Auditor, as provided for general accounts.
(d) Disposition of income. The Board of Trustees shall, subject to the
order of the Council, have the exclusive disposition of the income
of the Conservation Trust Fund and may utilize the same to purchase
interests in land as may be necessary to acquire, maintain, improve,
protect, limit the future use of or otherwise conserve and properly
utilize open spaces in land and water areas within the City.
(e) Management of conservation lands. Any interest in land or in water
rights donated, bequeathed or devised to the Conservation Trust Fund
or purchased by the Trustees of the Conservation Trust Fund shall
be managed and controlled by the trustees of the Conservation Trust
Fund.
