There is hereby created in and for the City of Pacific, the Meramec Valley Historical Society for the general supervision and control of the City's genealogy records and operation of the Meramec Valley Historical Society.

A. 
There shall be two (2) membership classifications, General and Directors. Residency in the City of Pacific is not a requirement to represent either membership classification.
1. 
General membership shall be open to the public.
2. 
The Mayor, by and with the consent of the Board of Aldermen, shall appoint the Directors of the Meramec Valley Historical Society.
3. 
The Meramec Valley Historical Society shall consist of five (5) Directors. Each of the five (5) Directors shall have one (1) vote. In addition, one (1) Alderman shall serve as a liaison to the Meramec Valley Historical Society. The Aldermanic liaison shall not have a vote.

A. 
The Meramec Valley Historical Society Directors shall hold office, one (1) for one (1) year, two (2) for two (2) years and two (2) for three (3) years from the first (1st) day in January 2012; and annually thereafter the Mayor shall at the second (2nd) Board of Aldermen meeting in May of each year, appoint, as before, two (2) Directors for three (3) years and an Alderman liaison for one (1) year until their successors are appointed.

B. 
The Mayor may, by and with the consent of the Board of Aldermen, remove any Directors of the Meramec Valley Historical Society for misconduct or neglect of duty.
C. 
Vacancies in the Meramec Valley Historical Society Board of Directors occasioned by removal, resignation or otherwise shall be reported to the Board of Aldermen and be filled in like manner as original appointments.
D. 
The members and directors shall not receive compensation for their services as such.

A. 
The Directors of the Meramec Valley Historical Society shall, immediately after their appointment and annually thereafter, meet and organize by the election of one (1) of their Directors as President, one (1) of their Directors as Vice President and one (1) of their Directors as Secretary. The City Clerk of the City of Pacific shall serve as Treasurer.

B. 
The Directors of the Meramec Valley Historical Society shall make and adopt such bylaws, rules and regulations as approved by the Board of Aldermen for their guidance and for the governance of the Meramec Valley Historical Society as may be expedient and not inconsistent with the terms, provisions, and spirit of this Chapter.

A. 
All of the powers and duties of the Meramec Valley Historical Society, whether mentioned specifically herein or not, shall be subject to the supervision, control and consent of the Board of Aldermen.
B. 
The funds of the Meramec Valley Historical Society shall be kept in a special account within the City's General Fund. All funds of the former Genealogy Committee and the Meramec Valley Historical Museum shall be transferred to the City of Pacific. The management of this fund shall be subject to the financial policies and procedures of the City of Pacific.
C. 
No later than May 1 of each year, the Society shall forward an annual budget for consideration by the Board of Aldermen. The budget shall clearly indicate anticipated revenues and expenditures for the coming fiscal year, as well as a statement of existing reserves and balances. The budget shall be subject to acceptance and adoption by the Board of Aldermen. Expenditures from the Meramec Valley Historical Society Fund shall be subject to authorization by the Board of Aldermen.

All monies received as donations or gifts for the Meramec Valley Historical Society, or for the former Museum Trust Fund, shall be deposited in the City Treasury to the credit of the Meramec Valley Historical Society Fund, to be drawn upon only by the proper officers of the City and upon proper authenticated vouchers of the Board of Aldermen.
