The General Store shall be managed by a Manager hired by the Tribe in accordance with its personnel policies and procedures. Except for those matters requiring approval by the Tribal Council, the Manager shall exercise, or direct the exercise of, all the authority granted to the General Store by this charter.
The Tribal Council may delegate such additional authority and power to the Manager as the Tribal Council determines necessary or appropriate to the accomplishment of the purposes of the General Store, provided that the Tribal Council shall remain responsible for monitoring and overseeing the exercise of any delegated power and authority and may rescind any such delegation at any time.
A. 
The Tribe shall indemnify any current or former member of the Tribal Council, officer, employee or agent of the General Store, or any person who is or was serving at the request of the Tribe as an officer, employee or agent of the General Store, against any liability asserted against him or her, including all reasonable expenses actually and necessarily incurred by him or her in connection therewith in the defense of any action, suit or proceeding in which he or she is made a party or is threatened to be made a party by reason of being or having been such an officer, employee or agent of the General Store at the request of the Tribal Council or the General Store's Manager, and the reasonable costs of settlement of any such action, suit or proceeding, whether pending or threatened, if a majority of the members of the Tribal Council not seeking indemnification shall determine in good faith:
(1) 
That such person did not act, fail to act or refuse to act willfully or with gross negligence, or with fraudulent or criminal intent; and
(2) 
That the person seeking indemnification did not knowingly act beyond the scope of his or her employment or office.
B. 
If all members of the Tribal Council then serving seek indemnification, the foregoing determination shall be made by an opinion of legal counsel to the Tribe.
