There is hereby created a Park Board, consisting of nine (9)
directors. The Mayor, with approval of a majority of the Board of
Aldermen, shall appoint the directors chosen from the citizens at
large with reference to their fitness for such office, and no member
of the municipal government shall be a member of the board.

The directors shall hold office, one-third for one (1) year,
one-third for two (2) years and one-third for three (3) years from
the first of January following their appointment, and at their first
regular meeting shall cast lots for their respective terms; and annually
thereafter, the Mayor shall, before the first of January each year,
appoint as before three (3) directors, who shall hold office for three
(3) years and until their successors are appointed. The Mayor may,
by and with the consent of a majority of the Board of Aldermen, remove
any director for misconduct or neglect of duty.

Vacancies in the Board of Directors, occasioned by removal,
resignation or otherwise, shall be reported to the Board of Aldermen
and be filled in like manner as original appointments, and no director
shall receive compensation as such.

A. The
Park Board of Directors shall immediately after their appointment
meet and organize by the election of one (1) of their number president,
and by the election of such other officers as they may deem necessary.
They shall make and adopt such bylaws, rules and regulations for their
guidance and for the government of the parks as maybe expedient, not
inconsistent with Sections 90.500 to 90.570, RSMo.
B. The
Park Board of Directors shall have the exclusive control of the expenditures
of all money collected to the credit of the park fund and of the supervision,
improvement, care and custody of the parks. All monies received for
such parks shall be deposited into the treasury of the City to the
credit of the park fund and shall be kept separate and apart from
the other moneys of the City and drawn upon by the proper officers
of the City upon properly authenticated vouchers of the Park Board.
C. The
Park Board of Directors shall have the power to purchase or otherwise
secure ground to be used for parks, shall have the power to appoint
a suitable person to take care of said parks and necessary assistants
for said person and fix their compensation, and shall have power to
remove such appointees; and shall in general carry out the spirit
and intent of Sections 90.500 to 90.570, RSMo., in establishing and
maintaining public parks.

The Park Board of Directors shall make, on or before the first
meeting in January, an annual report to the Board of Aldermen stating
the condition of their trust on the first day of May of that year,
the various sums of money received from the park fund and other sources,
and how much moneys have been expended and for what purposes, with
such other statistics, information and suggestions as they may deem
of general interest. All such portions of such report as relate to
the receipt and expenditure of money shall be verified by affidavit.

Any person desiring to make donations of money, personal property
or real estate for the benefit of such park shall have a right to
vest the title to the money or real estate so donated in the Board
of Directors, to be held and controlled by the board when accepted
according to the terms of the deed, gift, devise or bequest of such
property; and as to such property, the board shall be held and considered
to be the special trustees.

There is hereby created a Fair Advisory Board for the purposes
and to perform the duties hereinafter set forth. The Mayor shall appoint
a Fair Advisory Board of ten (10) members, nine (9) of which are to
be chosen from the citizens of the community at large, and one (1)
of which is to be chosen from the Board of Aldermen. The nine (9)
citizen members shall be appointed by the Mayor with the approval
of a majority of all members of the Board of Aldermen, and the one
(1) member of the Board of Aldermen shall be appointed by the Mayor.

At the first regularly scheduled meeting of the Board of Aldermen
in January 2014, the Mayor shall, subject to Board approval, appoint
four citizen members for a term of two (2) years each, and one member
of the Board of Aldermen for a one-year term. At the first regularly
scheduled meeting of the Board of Aldermen in January 2015, the Mayor
shall, subject to Board approval, appoint five citizen members for
a term of two (2) years each, and one member of the Board of Aldermen
for a one-year term. Citizen members presently serving on the Board
who desire to continue service shall be appointed to a two-year term
in either January of 2014 or January 2015. Citizen members presently
serving on the Board who do not wish to be reappointed for a two-year
term shall serve the remainder of their present terms or resign, after
which the Mayor, with the consent of the Board of Aldermen, shall
appoint some citizen from the community at large to serve a two-year
term or the remaining term of any citizen member who resigns, as the
case may be. Thereafter, citizen members shall be appointed for two-year
terms each at the expiration of each term. Members of the Board of
Aldermen shall be appointed by the Mayor to one-year terms each at
the first meeting of the Board of Aldermen in January of each year.
Nothing herein shall serve to prevent the reappointment of any member
at the expiration of such member's term.

When a vacancy occurs on the Fair Advisory Board by removal,
resignation or otherwise of any member thereof, said vacancy shall
be reported to the Board of Aldermen and shall be filled in a like
manner as original appointments for the unexpired term of said member.

No Fair Advisory Board member shall receive any compensation
as such.

The Fair Advisory Board members shall meet at least monthly
during the months of January through September of each calendar year
on a set date and time as determined by the members. At the January
meeting held in each calendar year, the members shall elect one of
its citizen members as Chairman and one of its other citizen members
as Secretary and Treasurer. The same citizen member may hold the positions
of Secretary and Treasurer.

A. The
Fair Advisory Board shall have the following duties and responsibilities:
1. Plan, promote, organize and conduct the annual Billings Community
Fair.
2. Plan, promote, organize and conduct such other community activities
as the Fair Advisory Board deems appropriate and as authorized by
the Board of Aldermen.
3. Identify recreational attitudes of individuals and organizations
in the community which would give guidance in planning future or additional
community events.
4. Make annual budget recommendations for the Fair Advisory Board.
5. Ensure resources to continue ongoing and future Fair Advisory Board
programs.
6. Accept and perform delegated responsibilities, especially in conjunction
with the organization, conduct and promotion of the annual Billings
Community Fair.
7. Maintain a clear distinction between the function of the Fair Board
and the function of the Board of Aldermen and professional staff of
the City.
8. Compile and advise the Board of Aldermen on suggested policies to
be utilized in the organization and planning of community events.
9. Submit all recommendations to the Board of Aldermen in writing so
as to avoid any misinterpretations, recognizing that such recommendations
may not always be followed.
10. Submit monthly financial statements to the Board of Aldermen which
accurately reflect the financial condition of the Fair Advisory Board,
including the expenditure of any money entrusted to such Board by
the Board of Aldermen.

The Mayor may, with the consent of the majority of all of the
members of the Board of Aldermen, remove any citizen member of the
Fair Advisory Board. Any citizen member may also be removed by a two-thirds
(⅔) vote of all members of the Board of Aldermen independently
of the Mayor's approval or recommendation. Members of the Board of
Aldermen who serve on the Fair Advisory Board may be removed by the
Mayor at will or may be removed by a majority vote of all members
of the Board of Aldermen irrespective of the approval, recommendation
or wishes of the Mayor.

The Fair Advisory Board shall, on or before the third (3rd) Monday in October of each year, make an annual report to the Board of Aldermen concerning its discharge of those duties set forth in Section
135.160. Such annual report shall set forth recommendations to the Board of Aldermen by the Fair Advisory Board concerning those subjects covered by Section
135.160 and, further, such annual report shall provide an accounting of any and all money received by, entrusted to or spent by the Fair Advisory Board.
