[Adopted 11-22-1999 by Ord. No. 823 (Ch. I, Part 5E, of the 1993 Code of Ordinances)]
It is the intent of the Borough of West Reading, Berks County, Pennsylvania (the Borough), to organize an authority under the Municipality Authorities Act of 1945, 53 P.S. § 301 et seq., as hereafter amended, supplemented, modified or reenacted by the General Assembly of the Commonwealth of Pennsylvania.
The proposed Articles of Incorporation of the Authority are as follows:
ARTICLES OF INCORPORATION OF
WEST READING MAIN STREET AUTHORITY
TO THE SECRETARY OF THE COMMONWEALTH OF PENNSYLVANIA:
In compliance with the requirements with the Act of May 2, 1945, P.L. 382, known as the "Municipality Authorities Act of 1945," as amended, supplemented, modified or reenacted (the Act), by the General Assembly of the Commonwealth of Pennsylvania (the Commonwealth), the Borough of West Reading, Berks County, Pennsylvania, expressing its intention and desire to organize and incorporate an authority under the Act does hereby certify:
1.
The name of the authority is "West Reading Main Street Authority" (the Authority).
2.
The address of the Authority's current registered office in the Commonwealth of Pennsylvania is 500 Chestnut Street, West Reading, Berks County, Pennsylvania 19611.
3.
The Authority is formed under the Act as amended, supplemented, modified or reenacted by the Commonwealth.
4.
The name of the incorporating municipality is Borough of West Reading, Berks County, Pennsylvania (the Borough).
5.
The following authorities have been organized under the Act or under the Act of June 1935, P.L. 463, as amended and supplemented by the Commonwealth, and are in existence in or for the Borough:
(a)
An authority by the name of "West Reading School Authority," which authority is now in existence in or for the Borough, said authority having been organized by the Borough;
(b)
A joint authority by the name of "Joint Municipal Authority of Wyomissing Valley," which joint authority is now in existence in or for the Borough and the Borough of Wyomissing, said joint authority having been organized by the Borough together with the Borough of Wyomissing;
(c)
A joint authority by the name of "Western Berks Refuse Authority," which joint authority is now in existence in or for the Borough and the Borough of Mohnton, the Borough of Shillington, the Borough of West Lawn, the Borough of Wyomissing, the Borough of Wyomissing Hills, the Township of Cumru and the Township of Spring, said joint authority having been organized by the Borough together with the Borough of Mohnton, the Borough of Shillington, the Borough of West Lawn, the Borough of Wyomissing, the Borough of Wyomissing Hills, the Township of Cumru and the Township of Spring;
(d)
A joint authority by the name of "Western Berks Water Authority," which joint authority is now in existence in or for the Borough and the Borough of Wyomissing and the Borough of Shillington, said joint authority having been organized by the Borough together with the Borough of Wyomissing and the Borough of Shillington.
6.
The names and addresses of the Mayor, members of the Borough Council, and the Borough Manager for the Borough are as follows: . . . .[1]
7.
The names and addresses of the first members of the Board of the Authority, all except one member of whom are residents and citizens of the Borough, are as follows: . . . .[2]
8.
The Borough retains the right which exists pursuant to the Act to approve any plan of the Authority for the purpose of making business improvements or providing administrative services.
9.
Advertisement of notice of filing of these Articles of Incorporation are submitted herewith.
IN WITNESS WHEREOF, the Borough of West Reading, Berks County, Pennsylvania, has caused these Articles of Incorporation to be executed by its Mayor and by its President or Vice President of Borough Council and to be attested by its Secretary, and the Official Seal of the Borough to be affixed hereto, this 22nd day of November, 1999.

The officers of the Borough are authorized and directed to execute under its Official Seal the Articles of Incorporation of the proposed Authority in substantially the form set forth in this ordinance, and such officers are authorized to do all acts necessary or appropriate to effect the incorporation of the Authority.
