The inhabitants of the town of Randolph, within its territorial
limits as now or may hereafter be established by the laws of the commonwealth,
shall continue to be a body politic and corporate, known as the "town
of Randolph."
This instrument may be cited and shall be known as the Randolph
Charter.
All legislative powers of the town shall be exercised by a town
council hereafter established. The administration of all town fiscal,
prudential and municipal affairs shall be vested in the executive
branch headed by the town manager.
The intent and purpose of this charter is to secure for the
voters of the town of Randolph, through the adoption of this charter,
all the powers possible to secure for their government under Article
LXXXIX of the Amendments to the Constitution of the Commonwealth and
laws of the commonwealth, as fully and as though each such power were
specifically and individually enumerated herein.
The powers of the town under the charter shall be construed and interpreted liberally in favor of the town and the specific mention of any particular power is not intended to limit in any way the general powers of the town as provided in section
1-4.
For the purposes of classifying Randolph in those instances
in which the laws of the commonwealth may distinguish between municipalities
classified as "towns" and other municipalities classified as "cities,"
it is intended that this charter shall be construed as providing a
city form of government.
The town may enter into agreements with any other unit of government
to perform jointly or in cooperation, by contract or otherwise, any
of its powers or functions.
Words importing the singular number may extend and be applied
to several persons or things; words importing the plural number may
include the singular; words imparting the masculine gender shall include
the feminine gender.

Unless another meaning is clearly apparent from the manner in
which the word or phrase is used, the following words and phrases
as used in this charter shall have the following meanings:
(a) "Charter", this charter and any amendment to it hereafter adopted.
(b) "Emergency", a sudden, unexpected, unforeseen happening, occurrence
or condition which necessitates immediate action or response.
(c) "Local newspaper", a newspaper of general circulation within the
town of Randolph, with either a weekly or daily circulation.
(d) "Majority vote", a majority of those present and voting, unless another
provision is made by ordinance, by-law or by its own rules.
(e) "Measure", any ordinance, order, resolution, or other vote or proceeding
adopted, or which might be adopted, by the town council or the school
committee.
(f) "Multiple-member body", any board, commission, committee, subcommittee,
or other body consisting of 2 or more members whether elected, appointed
or otherwise constituted, but not including the town council, the
school committee or the trustees of the Stetson Fund.
(g) "Town", the town of Randolph.
(h) "Town agency", any multiple-member body, any department, division
or office of the town of Randolph.
(i) "Town bulletin board", the bulletin board in the administration building
on which the town clerk posts official notices of meetings and upon
which other official town notices are posted and the bulletin boards
at any other locations as may be designated town bulletin boards by
the town council.
(j) "Town officer", a person having charge of an office or department
of the town who in the exercise of his powers or duties exercises
some portion of the sovereign power of the town, unless the term "town
officer" is used with qualification or description.
(k) "Voters", registered voters of the town of Randolph.
