The Arnold Community Foundation is established as an agency
of the City to promote the general welfare by enriching the quality
of life for the residents of the City and the surrounding community
by promoting arts, culture, civic life, seniors, children/youth, health/well-being
and education.

A. The Arnold Community Foundation Board of Directors shall consist
of seven (7) voting members.
B. The Mayor, subject to the approval of the City Council, shall appoint
six (6) members. Applicants must:
1.
Reside within the corporate limits of the City; or
2.
Own a business within the corporate limits of the City.
C. The Mayor (or his/her designee) shall serve as one of the voting
members of the Board of Directors.
D. The Mayor or City Council may assign staff to assist in the goals
of the Foundation as deemed appropriate.

Members of the Foundation shall serve without compensation.

Members of the Board of Directors will be appointed for a term
of three (3) years; but, of the members first appointed, one (1) shall
be appointed for a term of one (1) year, two (2) shall be appointed
for a term of two (2) years, and three (3) shall be appointed for
a term of three (3) years. The Mayor, or his/her designee, shall serve
during the term of the Mayor.

The Mayor, with a majority of the City Council or a three-fourths
majority of the City Council, may remove any Director of the Foundation,
with or without cause.

The Board of Directors shall elect its Chair and Secretary from
among the members. The term of Chair and Secretary shall be for one
(1) year with eligibility for reelection.

The Board of Directors shall meet within sixty (60) days of
the appointment of its members and shall adopt rules for the transaction
of business. Among its rules shall be a requirement to keep a public
record of its proceedings, which shall be periodically provided in
a written report to the City Council. All rules adopted by the Board
of Directors shall be submitted to the City Council for final approval.
In addition to the regularly scheduled meetings, such other meetings
shall be held as may be directed by the Mayor or the Council.

A. The Foundation shall be an agency of the City, but all funds of the
Foundation raised by, allocated to, or otherwise obtained by the Foundation
shall be used exclusively to carry out the purposes of the Foundation
and may not be otherwise directed, used or appropriated by the City
or any agency of the City.
B. The Foundation shall administer and expend moneys within the limits
of its purpose.

The Foundation may solicit and accept grants or gifts from any
source not prohibited by law.

The Foundation shall prepare and review data, conduct analyses,
and review other pertinent information and take all steps necessary
to ensure its successful completion of its purpose.

The Foundation shall have such other powers and duties as are
or may be prescribed by the laws of the State of Missouri or the ordinances
of the City of Arnold, Missouri.
