It is hereby established as a municipal activity
of the City of Salisbury, Missouri, a "Salisbury Municipal Golf Course"
to be organized and administered as provided herein.

The Golf Course, consisting of sixty-five (65)
acres, more or less, is located on the southwest corner of Potts Park
in Salisbury, Missouri.

The purposes for which this organization is
formed are: to manage and improve the said real estate; to operate
a golf course; to encourage the social association of its community
and surrounding areas by providing reasonable facilities, athletic
events, and social events for them to attend.

The Salisbury Municipal Golf Course shall be
directed by a Board of Directors, which shall derive its authority
from the City of Salisbury, Missouri, and which shall be responsible
to the Salisbury Board of Aldermen. The Directors shall be nominated
from the membership of the Golf Course, subject to the approval of
the Mayor, and ratification by the Board of Aldermen. Annual reports
shall be submitted to the Board of Aldermen in April of each year.

The Board of Directors shall not have the authority
to borrow money at the credit of the City of Salisbury, Missouri,
without the express consent of the Board of Aldermen.

A. Anyone is eligible to join the Golf Course and obtain
membership. A regular member is anyone who has paid their yearly dues.
Anyone can play golf on the course by paying daily green fees.
B. The memberships in the Golf Course shall be divided
into the following classes:
C. Memberships shall not be restricted by reason of residency
in the City of Salisbury. Membership to the Golf Course shall be open
to all persons.

Family memberships include everyone in the immediate
family who is living in the same household until eighteen (18) years
of age, except for full-time college students who are eligible until
twenty-two (22) years of age.

A single membership is any individual who pays
the yearly dues.
3.
A student membership is for full-time high school
and college students whose family does not have a membership.
D. The regular members shall be the only members of the
Golf Course that shall be entitled to vote at any meeting of the Golf
Course. Each classification of membership shall be entitled to one
(1) vote.
E. Any member wishing to make a comment or complaint
shall do so, in writing, to the Secretary of the Board of Directors.

A. The Board of Directors shall be comprised of nine
(9) members, one-third (1/3) of the Board of Directors shall be presented
to the membership by ballot for election in November. The ballot will
consist of nominations and shall also be open to write-in votes (said
write-in votes will only be open to members of the Salisbury Municipal
Golf Course). Said ballots will be included with membership invoices,
to be mailed in December, and returned on or by the last date in February.
Upon selection of members of the Board of Directors by the general
membership, the same shall be presented to the Board of Aldermen at
the March meeting of the City of Salisbury, Missouri. The selection
shall be presented to the Board of Aldermen for ratification at said
meeting. The Golf Board will reorganize the Board of Directors at
the April meeting.
B. Membership of the Board of Directors shall not be
restricted to residents of the City of Salisbury, but may consist
of any of the regular members of the Salisbury Municipal Golf Course.
C. Five (5) Board members will constitute a quorum for
the transaction of business.
D. The Board of Directors shall have the power to set
membership charges, green fees, and cart shed fees. The Board of Directors
shall have general charge of club buildings, grounds and property,
and shall have the power to hire and discharge all employees with
Board of Aldermen approval. The Board shall approve the purchase of
all major supplies and equipment and shall approve all contracts made
on behalf of the Golf Course. The Board shall manage and supervise
the financial and other affairs of the Golf Course. The Board shall
make and enforce rules and regulations by disciplinary actions, if
necessary, for the use of the golf course, club house, and grounds.
The Board shall do all things to effectively carry out the business
of the Golf Course and it may delegate such powers as it may see fit.

The officers of the Golf Course shall consist
of President, Vice President, and Secretary/Treasurer. The positions
of officers will be voted on by the Board of Directors annually at
the March meeting. If any suggested motion should come to a tie, the
President shall vote for majority rule.

A. The President shall preside at the meeting of the
Board of Directors and all special meetings.
B. He/she shall call special meetings of the members
of the Board of Directors.
C. The President shall make annual reports to the members,
Board of Aldermen and give quarterly updates of the Golf Board accomplishments
and challenges.
D. The President, with the Secretary, shall sign all
written contracts and obligations and shall have charge of the general
supervision and control of the property and its management.
E. The President shall appoint someone from the general
membership to fill a vacancy on the Board of Directors caused by death
or resignation.

A. In the absence of the President, the Vice President
shall hold the office of President as well as Vice President until
the next election.
B. The Vice President shall be an ex officio member of
all committees.

A. The Secretary/Treasurer shall keep full and accurate
minutes of all meetings of the Golf Course and the proceedings of
the Board of Directors in books provided for that purpose.
B. The Secretary/Treasurer shall attend to all correspondence
of the club unless otherwise instructed.
C. The Secretary/Treasurer shall promptly present to
the Board of Directors or the President all written complaints or
comments made to him/her.
D. The
Secretary/Treasurer shall establish and maintain a set of books to
account for all fiscal activities of the Golf Course and produce a
financial statement each month for the Golf Board and to submit said
statement to the Board of Aldermen as well as the monthly meeting
minutes.

The Board of Directors may from time to time
prescribe other or different duties for the officers and employees
of the club.

A. The
President shall appoint the following standing committees. Each committee
shall consist of up to five (5) members of which at least two (2)
are members of the Board of Directors. Those two (2) members shall
serve as Co-Chair. All committee appointments are subject to ratification
by the Board and are for one (1) year terms. Committees shall prepare
and present at the regular monthly meeting of the Board of Directors
their committees' activities.
1. Grounds And Greens Committee. The Grounds and Greens Committee shall
have general charge of the maintenance of the fairways, greens, driving
range, water system and maintenance equipment. They shall work closely
with the Groundskeeper. It is the duty of the Co-Chairmen to supervise
the Groundskeeper. They shall also check with the Groundskeeper on
the machinery and make recommendations to the Board on the purchase
and repair of machinery. They shall also study and make to the Board
recommendations on improving the Golf Course grounds.
2. Tournament Committee. The Tournament Committee shall make all arrangements
for the local golf tournaments. It is their responsibility to learn
how to run tournaments in an appropriate way.
3. Other Committees. The Board of Directors shall be authorized to create
any other committee and define the functions thereof as the Board
deems necessary.

It is the responsibility of the Board of Directors
to help enforce the rules and regulations of the Golf Course.

Members have first chance to rent the cart sheds.
There are two (2) types of golf cart sheds available.

A. Special meetings may be called at any time by the
President or application of ten (10) members in writing. The President
shall duly notify the membership by public notice, posted twenty-four
(24) hours in advance at the office of City Hall and at the Golf Course.
B. The Board of Directors shall meet on the first Wednesday
of each month at the Golf Course, or other meeting site as directed
by the Board of Directors. The meeting shall start at 7:00 p.m. and
notice of the meeting shall be posted twenty-four (24) hours in advance
at the office of City Hall and at the Golf Course.
C. The
President shall meet quarterly with the Board of Aldermen and report
the Golf Course's successes and challenges, as well as submit and
present an annual report to the Board of Aldermen at the April meeting.

All employees of the Salisbury Municipal Golf
Course shall be employees of the City of Salisbury, Missouri. All
employee expenses including payroll, payroll taxes, employee benefits
packages, or any other general employment expense shall be reimbursed
by the Salisbury Municipal Golf Course to the City of Salisbury, Missouri,
on a monthly basis.

The City of Salisbury, Missouri, shall be responsible
for the provision and costs of all property insurance coverage for
the operation of the Salisbury Municipal Golf Course.

The property upon which the Salisbury Municipal
Golf Course is operated shall be solely owned by the City of Salisbury,
Missouri.
