[Adopted by Ord. No. 01-10 (Ch. 2, Sec. 2-34, of the 1978 Revised General Ordinances)]
There is hereby created and established a Green Sustainable
Committee to assist the Township in providing guidance on ways to
improve municipal operations with green initiatives which are economically
and environmentally sound through research and evaluation.

A. The Green Sustainable Committee shall consist of 13 members, only seven members are appointed by the Mayor. The Council appoints the Council member. Four of the members are ex officio members, that is, they are full-time employees of Denville Township. Their term goes with their term of employment. Those four ex officio members are the Township Facilities Manager, the Director of Health, the Township Engineer and the Director of Public Works. Four other members are appointed by the Mayor to be liaisons to each ex officio member. These four shall be Denville residents and are alternates to represent each ex officio member and are obligated to keep the ex officio member informed of all activities of the Committee. These four alternate members have voting rights only in the ex officio members absence except in the cases described in Subsection
D below. These liaison members will in effect be alternates to the ex officio members. These four alternates are named according to the department they represent. Including these alternates, there are in effect 13 members of the Committee. The Mayor and Councilperson's term goes with their term of office. One appointed member will be from the Economic Development Committee. One member shall be from the Board of Education and shall be appointed by the President of the Board of Education. One additional member shall be a resident.
B. Of the nine members and four alternates, one shall be the Mayor, one shall be a Township Councilperson, a Board of Education member, a member of the Economic Development Committee, the four ex officio members as described in Subsection
A above, (the Township Facilities Manager, the Township Engineer, the Director of Public Works and the Director of Health), the four alternates also described in Subsection
A above and the one additional resident, who will be the liaison to the Environmental Commission.
C. The members shall serve without compensation.
D. There shall be nine members of the Committee who shall have voting
rights. The 13 members shall be all members with the exception that
either the ex officio members shall vote or their respective named
alternate, but not both. The exception being where one of the alternate
members is selected as Chairperson, Vice Chairperson or Secretary,
in that case, that alternate shall have voting rights. The Mayor shall
decide all tie votes.
E. The Committee shall elect by a majority of a quorum of its membership
a Chairperson, a Vice Chairperson and a Secretary. They shall be elected
during the first regularly scheduled meeting of any given year and
shall serve in such capacity for that year. For purposes of this section,
a quorum shall consist of five members. The Secretary must be selected
from one of the five resident members.
F. The terms of the first appointed Committee shall be as follows: two
members shall be appointed for one year, two members shall be appointed
for two years, and three members shall be appointed for three years.
Their successors shall be appointed for terms of three years or until
the end of the term of appointment of their predecessor in the case
of a resignation of vacancy. These appointments shall only apply to
the five residents, the Councilperson and the member of the Economic
Development Committee.
G. The Mayor or Municipal Council may remove any member of the Committee
for cause, on written charges served upon the member and after a hearing
thereon by the Municipal Council, at which the member shall be entitled
to be heard in person or by counsel. Any appointed member who misses
three consecutive unexcused meetings, is automatically removed from
the Committee.
H. A vacancy on the Committee occurring otherwise than by expiration
of a term shall be filled for the unexpired term in the same manner
as an original appointment.

The Green Sustainable Committee shall have the following powers
and duties, which shall be exercised within the limits of funds appropriated
to the Committee:
A. Collaborate with Township employees, service providers and other
governmental agencies to share resource information and ideas consistent
with the mission of the GSC.
B. Encourage participation of all employees to solicit ideas on green
initiatives.
C. Research and analyze green initiatives which make practical environmental
and financial sense.
D. Develop strategies for sustainable green initiatives in municipal
operations.
A. Regular meetings of the Committee shall be held at the call of the
Chairperson, or, in his absence or disability, at the call of the
Vice Chairperson.
B. At all meetings, a quorum shall consist of a majority of the voting
members (five) of the Committee.
C. The Committee shall keep records of its meetings and activities and
shall make an annual report to the governing body of the Township
on or before the 15th day of December in each and every year.
