The purpose of this division is to create a board to manage the activities of the Lufkin Convention and Tourism Bureau.

(a) 
Members of the board shall be appointed by the city council in accordance with the city’s board appointment policy.
(b) 
The board shall consist of nine voting members who are residents of the city or city business owners/managers who are directly associated with the tourism industry. Members shall be representative of the hospitality industry (i.e., restaurants, retail merchants, historic interests, bed and breakfast establishments and the hotel/motel industry) and one city council member.
(c) 
Members shall serve two-year terms unless their term is vacated by resignation, death or other reason. Terms of the members are to be staggered, with four members’ terms ending each year. Initial terms shall be established by the city council. Members may serve two consecutive terms with eligibility to be appointed again to the board after an absence of one year as a member of the board.
(d) 
One member of the board shall be a city council member appointed by the city council and shall serve with no term limits.
(e) 
The city manager or his appointed designee shall be an ex-officio member of the board.
(f) 
Members shall receive no compensation and shall have supervisory powers over the promotion of tourism and convention activities in the city.
(g) 
Vacancies on the board shall be filled by appointment by the city council. Appointments shall be for the unexpired term of the member replaced.
(h) 
Officers of the board, including a president, vice-president, secretary and treasurer, shall be appointed by the city council and fulfill duties as stated below:

The president shall exercise general supervision over the affairs of the board, preside at all meetings of the board and serve as an ex-officio member of all committees.
(2) 
The vice-president shall perform the duties of the president in his/her absence, or in the event of his/her resignation, death or disability. The vice-president shall perform such other duties as may be assigned by the president.
(3) 
The secretary shall keep the minutes at the meetings of the board, record all members present at each meeting and notify members of regular or called meetings at least three working days prior to the time of such meeting.
(4) 
The treasurer shall be the custodian of funds of the tourist and convention bureau. The treasurer shall keep, or cause to be kept, a record of all revenue and expenditures. The records shall be made available for inspection by board members, city council members or the city manager at all times. The treasurer shall prepare, or have prepared, a financial report for distribution at each regular meeting of the board.

(a) 
The board shall hold regular meetings on a monthly basis and shall keep written record of all proceedings.
(b) 
A quorum of five members must be established prior to action being taken on any matter.
(c) 
All business of the board, including any special or standing committees, must be
conducted in accordance with Robert’s Rules of Order and the Public Information Act.
(d) 
The board shall report to the city council on activities when requested. It shall make recommendations to the city council pertaining to items which relate to the promotion of tourism, conventions and programs in the city.
(e) 
The board shall provide direction and oversight to the Lufkin Tourism and Convention Bureau.
(f) 
The board shall oversee the director of the Lufkin Tourism and Convention Bureau.
(g) 
The board shall ensure that all activities of the Lufkin Tourism and Convention Bureau and its employees are in accordance with the contract between the city and the Lufkin Tourism and Convention Bureau.
